An exciting contract (3 months) opportunity has arisen for a Company Secretary to join our customers Legal Affairs Team, providing company secretarial services. The ideal candidate will bring experience in the financial services sector, a strong understanding of corporate law and governance, and excellent organizational skills.
Key Responsibilities
- Corporate Governance: Provide secretarial services to the Board, Audit, Risk, and Remuneration committees.
- Meeting Coordination: Organize Board & committee meetings, Annual General Meetings, issue notices, draft papers, and track follow-up actions.
- Director Support: Advise directors on their duties under the Companies Act, manage director appointments and resignations, and support regulatory applications.
- Documentation: Review and update corporate governance documents, provide input for regulatory documentation, and oversee corporate disclosures.
- Legal Entity Management: Handle incorporations, corporate restructures, liquidations, share allotments, and maintain statutory registers & records.
- Compliance: Ensure compliance with legislative, regulatory, and group policy requirements, and keep abreast of legal and regulatory changes.
- Training & Supervision: Provide direction to Company Secretary Trainee and Administrators.
What We’re Looking For
- Knowledge: Strong understanding of UK corporate law and governance requirements for a UK bank.
- Skills: Excellent organizational and administration skills, effective minute writing, and ability to meet tight deadlines.
- Communication: Effective communication skills for interacting with directors, senior management, and employees.
- Experience: Familiarity with regulatory documents required by a UK bank, detailed corporate reporting requirements, and corporate reconstructions.
- Desired: Understanding of Global Enterprise Management Systems and BoardVantage type software.
