Role Purpose
Reporting to the VP Taxes, this role will focus on advisory matters including leading the Group’s restructuring in various territories and rationalising the intercompany financing positions, as well as overseeing the Group’s transfer pricing, managing due diligence work and assisting with the exit readiness project. Manage the relationship with related external consultants. The role may require some provision of advice to colleagues in operations and sales on business contracts.
Key responsibilities
- Advisory Work: Work with finance and legal colleagues to rationalise the Group’s ICO balances creating a central treasury hub in EXA Infrastructure UK Limited. Rationalise the number of group companies, working with local advisors to completion of projects. Ensure a good understanding of fixed asset spend by jurisdiction and related financing is in place. Work on the integration plan for Aqua Comms and EXA group companies. Work with the commercial teams to ensure contracts entered by EXA have appropriate tax protections in place. Provide ad-hoc advisory input, particularly keeping the tax team appraised of the impact of new legislation.
- Due diligence and Exit Readiness: Lead the due diligence process on Group acquisitions. Create an exit readiness file working with ISQ and external advisors.
- Transfer pricing: Work with external advisors to ensure the Group’s transfer pricing methodology remains up to date and robustly defendable. Oversee the Group’s Local File and Master File preparations across all territories, including relating returns, and work with colleagues in tax to ensure the entries in the financial statements are aligned with the transfer pricing methodology and arrangements are in place to invoice the TP charges.
Individual Profile
Professional qualification e.g. ICAEW, CIOT or equivalent. Significant relevant post qualified experience. Strong expertise in tax advisory for a multinational group. Significant corporate restructuring experience. Good working knowledge of transfer pricing principles and strong experience of operational transfer pricing.
