Legal Counsel, Private Funds & Private Credit in City of London

The Opportunity

We are hiring a Legal Counsel to sit inside a small legal function with genuine ownership from the first month.

You will run your own workstreams across fundraising, fund finance and deal support, working directly with the General Counsel, the COO and the investment teams.

Small team means you are the lawyer on the matter, not the fourth name on a distribution list, and the work is the whole of the fund lifecycle rather than one slice of it.

Key Responsibilities

• Support fundraising end to end: limited partnership agreements, subscription documents, side letter negotiation and MFN elections, LP due diligence questionnaires, and closing mechanics.
• Own fund finance workstreams, including subscription line and capital call facilities, NAV facilities, and the intercreditor and security questions that come with them.
• Support the credit team on direct lending documentation, facility agreements, amendments and waivers, and portfolio monitoring.
• Advise the investment teams on transaction execution: SPAs, warranty and indemnity cover, co investment vehicles, bolt ons and exits.
• Handle marketing and distribution: AIFMD marketing and pre marketing, national private placement regimes, financial promotions and reverse solicitation questions.
• Manage the Luxembourg and Channel Islands structures alongside external counsel and the administrator, including substance, delegation oversight and entity governance.
• Own regulatory and compliance workstreams with the GC, covering FCA obligations, SMCR, conflicts, and LP and regulator reporting.
• Instruct and manage external counsel, hold the quality bar, and control the legal spend.
• What We Are Looking For
• Around 2 to 6 years post qualification experience, gained at a recognised City, US or international firm, or in a comparable in house funds role.
• Private funds, fund finance, private credit or leveraged finance work that is the core of your practice, not one fund closing on an otherwise generalist corporate CV.
• Genuine drafting and negotiating ability on fund or finance documentation, with the commercial judgement to tell a business what the risk actually is rather than list every risk there could be.
• Comfortable being the only lawyer on a matter and comfortable saying so when something needs external counsel.
• Applicants whose experience is solely retail funds and UCITS product, general commercial contracts, litigation, employment, company secretarial work, or non qualified compliance monitoring will not be considered for this seat.
• Qualified in England and Wales, or in another common law jurisdiction with the existing right to work in the UK.
• Luxembourg fund experience is a real advantage. French, German or a Nordic language is useful for European LP and borrower coverage.
