An exciting opportunity has arisen for an experienced Corporate Governance Paralegal to join the in-house legal team of a fast-growing UK infrastructure and clean energy business focused on supporting the decarbonisation of commercial transport. The business is developing a nationwide network of clean energy hubs across the UK, supporting technologies including EV charging, hydrogen, HVO and bio-CNG infrastructure.

This is a rare opportunity for a corporate governance specialist to join a scaling business at an early stage, working closely with senior leadership including the Finance Director and CEO on a broad range of governance, commercial and property-related legal matters.

The Role

Corporate governance is the primary focus of this role. The successful candidate must have hands-on experience drafting board minutes and resolutions, managing Companies House filings, maintaining statutory records and reviewing governance and constitutional documents. Beyond governance, the role also covers commercial contracts, commercial property and legal operations, making this a broad and varied in-house position. The legal team is small and fast-paced. The successful candidate must be comfortable working independently, advising senior stakeholders directly and operating with minimal supervision from day one.

Key Responsibilities

  • Corporate Governance - Primary Focus
    • Drafting board minutes, resolutions and governance documentation
    • Managing Companies House filings and statutory updates
    • Reviewing, interpreting and summarising governance and constitutional documents
    • Advising senior stakeholders including the Finance Director on governance requirements and compliance
    • Maintaining statutory records, registers and minute books
    • Supporting board and shareholder approval processes
  • Commercial Contracts
    • Preparing, reviewing and amending commercial agreements
    • Supporting contract lifecycle management activities
    • Producing summaries of key commercial and legal risks
    • Supporting execution and document control processes
  • Commercial Property
    • Supporting lease and property transaction activities
    • Conducting title reviews, searches and due diligence
    • Assisting with transaction documentation and completion processes
    • Reviewing and organising property-related legal documentation
  • Legal Operations & Administration
    • Maintaining legal trackers and document management systems
    • Supporting reporting and legal operations processes
    • Managing purchase orders and invoice administration
    • Conducting legal research and preparing briefing notes
    • Providing general support to the in-house legal team

Experience Required

  • Hands-on corporate governance experience is essential - candidates without direct experience drafting board minutes, resolutions and managing Companies House filings will not be considered
  • 3-5+ years' paralegal experience, ideally gained in-house or within a corporate team in private practice
  • Formal legal education (LLB, CILEX, SQE or equivalent)
  • Experience reviewing and interpreting corporate governance and constitutional documents
  • Comfortable advising senior stakeholders including board-level directors directly and independently
  • Experience drafting and managing commercial contracts
  • Strong organisational skills and attention to detail
  • Able to work autonomously in a fast-moving environment with minimal supervision

Desirable Experience

  • Exposure to commercial property ideally
  • Experience within energy, infrastructure, utilities, EV charging or real estate environments
  • Experience using HighQ or similar document management systems
