Divestment Carve Out Consultant– Corp Dev/ Mergers & Acquisition

Position Overview

We are seeking an experienced Consultant to lead and support a divestment carve-out project. The consultant will be responsible for defining the operational, and strategic frameworks for the Divestment Company (Divest Co) and the Remaining Company (Remain Co). The role requires deep expertise in divestitures, business separation, and change management, with a proven track record in executing similar carve-out projects.

This is expected to be a 6-9 month assignment with European Travel required as part of a share deal to be confirmed imminently.

Responsibilities

  • Define Divest Co and Remain Co Structures: Develop clear operational, financial, and organizational frameworks for both the Divest Co and Remain Co, ensuring alignment with strategic objectives and regulatory requirements.
  • Operational Separation: Identify and delineate shared services, assets, processes, and systems between Divest Co and Remain Co to ensure operational independence post-divestiture.
  • Stakeholder Management: Engage with internal and external stakeholders, including leadership teams, legal advisors, and third-party vendors, to ensure a seamless transition and clear communication throughout the project.
  • Transition Service Agreements (TSAs): Design and negotiate TSAs to manage interim dependencies between Divest Co and Remain Co, ensuring continuity of critical operations.
  • Risk Assessment and Mitigation: Identify potential risks related to the carve-out, including legal, financial, and operational challenges, and develop mitigation strategies.
  • Change Management: Support employees and leadership through the transition, including organizational design, workforce planning, and communication strategies.
  • Project Management: Oversee the end-to-end carve-out process, ensuring timelines, budgets, and deliverables are met while maintaining alignment with the overall divestment strategy.
  • Carve-out and DD: Identify the amount of activity and resources needed to forecast internal (and external if applicable) level of effort required. Reach out to all applicable functional leads to determine associated scope of work.
  • DD: Bottom-up analysis of existing VDR and identify any gaps
  • Financial Carve-Out: Assist financial teams to create standalone financial statements, allocate costs, and establish capital structures for both entities.
  • Legal: assist with the Legal aspects of the carve-out, including but not limited to Real Estate, Vendor and customer contracts

Qualifications:

Proven Experience: Minimum of 5-7 years of experience in divestitures, mergers and acquisitions (M&A), or business carve-outs, with a focus on defining and implementing Divest Co and Remain Co structures.

  • Industry Expertise: Deep understanding of operational, financial, and legal aspects of carve-outs, preferably in [insert relevant industry, e.g., manufacturing, technology, healthcare].
  • Technical Skills: Proficiency in financial modeling, organizational design, and project management tools (e.g., MS Project, Jira, or equivalent).
  • Change Management: Experience in managing complex organizational transitions, including workforce restructuring and stakeholder communication.
  • Analytical Abilities: Strong problem-solving skills with the ability to analyze complex business structures and develop actionable strategies.
  • Communication Skills: Excellent verbal and written communication skills, with the ability to present complex information clearly to diverse audiences.
  • Education: Bachelor’s degree in Business, Finance, or a related field; MBA or relevant advanced degree preferred.
  • Certifications: PMP, CFA, or similar certifications are a plus.

  • Ability to work in a fast-paced, dynamic environment with tight deadlines.
  • Strong collaboration skills to work cross-functionally with legal, finance, HR, and operational teams.
  • Willingness to travel as needed to support project execution.
