We are currently seeking a skilled Corporate Governance Paralegal with entity management experience! This hybrid in-house role is with a very well-known Epiq Counsel client!
Epiq Counsel is an innovative legal services talent provider that offers meaningful in-house legal secondment work and flexibility to sophisticated and credentialed lawyers and legal professionals. Our lawyers and legal professionals work on a wide variety of legal matters for Fortune 500 clients.
- Minimum of 5 years of experience as a commercial paralegal, with significant exposure to entity management.
- Strong understanding of corporate law.
- Familiarity with international corporate governance standards is a plus.
- Proficiency in legal research tools and Microsoft Office Suite.
- Experience with entity management software and databases.
- Willingness to support a hybrid role requiring three days onsite in Central London-based office.
Conduct legal research and provide summaries on various legal issues related to corporate governance and entity management.
Draft and review legal documents and correspondence between Legal, Treasury and Controllership (Finance) teams.
Liaise with external counsel and corporate secretarial advisors to support daily legal and entity governance tasks.
Assisting in drafting and reviewing various legal documents, including board minutes, resolutions, and shareholders agreements.
Maintain a database of all group entities, including domestic and international subsidiaries.
Supporting with quarterly board meeting preparation, board minute writing and corresponding with directors on follow-up actions.
Maintaining matter trackers and creating efficiencies to optimise Corporate Governance team workflows by leveraging the use of internal AI tools.
Compensation commensurate with experience and complexity of engagement.
One-on-one engagement support and coaching.
