This role offers strong exposure to equity and debt capital markets transactions, including complex cross-border offerings involving US securities law. The successful candidate will work closely with a highly regarded capital markets team advising issuers and financial institutions on transactions involving the London Stock Exchange and US markets, with particular involvement in equity offerings directed into the United States.
Candidate Profile
- US-qualified, ideally with a JD from a leading US law school.
- 3–6 years’ PQE with experience in capital markets.
- Background working at a top US or UK law firm.
- Strong experience across ECM transactions, ideally including foreign private issuer deals linked to the London Stock Exchange.
- Exposure to debt capital markets, with high-yield experience considered a plus.
- Strong knowledge of SEC regulations and US securities practice.
- Excellent technical drafting, prospectus preparation, and communication skills.
- Organised, collaborative, and comfortable working in a busy, international team environment.
Key Responsibilities
- Advising on a range of equity and debt capital markets transactions, including cross-border offerings with a US securities law element.
- Acting for underwriting banks and financial institutions on equity transactions targeting US investors.
- Leading aspects of transactions with appropriate supervision and coordinating with internal teams across jurisdictions.
- Drafting and reviewing prospectuses, offering memoranda, and other transaction documentation to a high technical standard.
- Providing clear, commercially focused legal advice tailored to client objectives.
- Supervising junior lawyers and supporting the development of team members.
- Maintaining direct client contact throughout transactions and contributing to strong client relationships.
- Collaborating with the wider capital markets practice on execution and origination of new mandates.
- Supporting business development initiatives and client engagement activities.
- Managing multiple matters simultaneously while ensuring deadlines are met in a fast-paced environment.
