Our client, a membership organisation and registered charity is seeking an experienced interim CEO who has immediate availability to reassure, support and guide an established Board of Trustees through the final stages of a charity dissolution. It is expected this will take no more than six months but could take a little longer.

THE ROLE: The interim CEO will be required to take full responsibility to lead and oversee the final stages of a recent charity merger which consisted of two charities merging into one new entity. This will involve managing the Membership vote process, preparation and transfer of the charity assets and liabilities, leading and advising on the dissolution of the charity and registering the merger. The role will require involvement, support and advocacy with the employees and working with the established bodies who have responsibility for TUPE, HR and legalities making sure that the entire process successfully reaches their objective and all interested parties are communicated with and that the entire process meets all the required legislation and time restraints and with regular communication to all relevant parties involved, ensuring guidance and reassurance is provided to the Board of Trustees that all objections are met.

Our client has contracted legal and HR functions and a merger consultancy. They are looking for a senior individual, with previous experience in this sector who can demonstrate relevant previous experience, and is capable of helping manage this process.

Essential experience required:

  • Previously lead and supported a charity through a merger (particularly the final stages of a merger), interfacing with legal and HR processes including TUPE
  • Full understanding of the methods a charity will use to transfer assets and liabilities
  • Can demonstrate previous management of a staff team (remote and on site)
  • Experience of overseeing, consulting with beneficiaries, members, all employees (particularly staff transferring from a charity to a new entity), 3rd party and other stakeholders
  • Can demonstrate previous experience of leading a successful charity dissolution
  • Obtained or have knowledge of Charity Commission Authority
  • Previously led and overseen a Membership Vote process
