Assistant Company Secretary opportunity working for a top performing specialty insurer operating in the Lloyd's market. Reporting into the Company Secretary, you will provide hands-on support across Board and Committee administration, statutory and regulatory compliance, entity management and governance projects, ensuring governance documentation and processes are maintained to a high professional standard, with complex matters escalated to the Company Secretary.
Key Responsibilities:
- Coordinate Board and Committee meetings, including calendars, agendas, papers, logistics, minutes, action tracking and resolutions.
- Support director and committee member onboarding.
- Maintain statutory registers, entity records and corporate records, including Companies House filings and corporate housekeeping.
- Maintain governance frameworks, Terms of Reference, delegated authorities, committee structures and key registers.
- Support governance reviews, training and annual governance activities.
- Coordinate Lloyd’s, FCA and PRA regulatory requirements, including notifications, applications, information requests and SM&CR matters.
- Support Lloyd’s syndicate governance, including boards, committees, business plans, capital and capacity processes.
- Administer governance systems and records, including Admincontrol, SharePoint and Diligent Entities.
- Support corporate transactions, resolutions, powers of attorney and cross-border governance matters.
- Contribute to governance, systems and process improvements.
- Provide day-to-day support to the Company Secretariat, maintaining governance calendars, trackers and statutory/regulatory deadlines.
- Undertake other duties as required by the Company Secretary.
Key Skills / Experience:
- Studying towards or holding a CGI/ICSA or equivalent qualification.
- Experience in company secretarial or corporate governance, ideally within the Lloyd’s market.
- Good working knowledge of the Companies Act 2006, statutory filings and SM&CR.
- Experience preparing Board/Committee agendas, papers and minutes.
