We are currently recruiting an experienced Corporate Commercial Senior Solicitor or Partner to join a law firm recognised by the Legal 500 due to expansion and growth. You will be working with a range of clients from locally to nationally providing support with all aspects of the business.
We are looking for someone with a strong understanding of the legal needs of corporate clients who are able to provide knowledge in acquisition, mergers and joint ventures, restructure and demergers, corporate governance and commercial contracts.
Key Responsibilities:- Advising on and managing M&A transactions, from negotiations to completion.
- Helping clients with future corporate plans including business exit strategies and wealth transfer.
- Advising on and drafting employee share schemes such as EMIs, EBTs, and EOTs.
- Supporting on corporate restructures, demergers, and reorganisations.
- Drafting and reviewing financing documents for acquisitions and business transactions.
- Drafting and advising on Shareholders Agreements, Articles of Association, and other governance documents.
- Drafting, negotiating, and advising on a range of commercial agreements.
- Advising on franchise agreements and franchisee relationships.
- Leading and negotiating deals, ensuring optimal outcomes for clients.
- Managing client relationships and delivering practical, business-focused legal advice.
- Supporting and mentoring junior colleagues in their development.
- 5+ years PQE in Corporate and Commercial Law with a strong range of knowledge and expertise in the areas outlined above.
- A solid understanding of business structures, commercial law, and financial documentation.
- Strong ability to lead negotiations, manage clients independently, and deliver practical, business-oriented advice.
- Previous experience providing support and guidance to junior team members, with an ability to mentor and help develop their professional skills.
