This role requires a motivated and ambitious lawyer to work within the Corporate team in our London Office. We are looking for a mid‑senior level Associate who has meaningful experience in all aspects of public and private M&A work, including share and asset sales, joint ventures and shareholder arrangements, as well as general corporate advisory work. Ideally this experience should include significant cross‑border experience. Candidates should have worked across the deal life‑cycle, advising on preliminary agreements (non‑disclosure agreements, exclusivity agreements and term sheets), conducted due diligence and disclosure exercises and been involved in drafting and negotiating key deal documents.

Responsibilities:
  • Advising on asset and share sale structures and key deal terms
  • Conducting and overseeing specialist due diligence
  • Drafting and negotiating key deal documents
  • Conducting disclosure exercises
  • Advising on joint venture arrangements
  • General corporate advice
  • Self‑motivated business development and business development with the wider team
  • Managing all client work allocated to them, liaising with clients, managing expectations and providing consistently excellent client service
  • Exercising high standards of client care in a professional and friendly manner
  • Ensuring that all the Firm’s business and client documentation is kept confidential and secure
  • Keeping up to date with case law, policy and planned reforms

Experience, Skills and personal attributes:
  • Experience in a generalist corporate M&A role is essential, and experience in public M&A / Takeover Code
  • Ability to understand complex legal principles and apply them accordingly
  • A high level of oral and written communication, presentation and influencing skills with the ability to quickly establish relationships at all levels
  • Demonstrate ability to confidently interact with clients and actively seek new business development opportunities
  • A commercial and pragmatic outlook
  • Ability to demonstrate a flexible and hands‑on attitude, responding effectively to rapidly changing circumstances
  • Excellent IT skills (Word, Excel, Outlook)
  • Demonstrate a positive attitude and be a role model for the team
  • Excellent attention to detail and the ability to work well under pressure
  • Demonstrate the ability to manage simultaneous workstreams to tight deadlines
  • Must be able to work autonomously
  • Excellent prioritisation and time management skills
  • Flexibility and adaptability in a fast‑paced work environment
  • A team player, must be able to work collaboratively with colleagues across the London office
  • Demonstrated ability to take initiative, anticipate needs and exercise independent, sound judgement
Qualifications:
  • Undergraduate degree achieving a minimum of a 2:1 or equivalent
  • Admitted to practice as a solicitor or barrister either in England and Wales or qualified overseas with experience in the London market.
