We have an exciting opportunity for an Assistant Company Secretary to join our Legal & Company Secretarial team here at Domestic & General. In this role, which reports to the Deputy Company Secretary, you will play a key part in delivering effective governance, statutory compliance and company secretarial support across the Domestic & General (D&G) Group, with a particular focus on our international subsidiaries and branches across various jurisdictions including the EU and US.
You will help maintain the integrity of our corporate records, provide high‑quality meeting support to both regulated and unregulated entities, and work closely with senior stakeholders — including Executive and Non‑Executive Directors — to uphold strong governance standards across the Group.
Key Responsibilities
- Deliver high-quality governance, statutory compliance and company secretarial support across the D&G Group, with particular focus on international subsidiaries and branches.
- Provide end-to-end Board and Committee meeting support, including maintaining forward planning, agenda setting, collation, review and circulation of high-quality papers via Diligent Boardbooks.
- Attend and take accurate minutes of subsidiary board and committee meetings.
- Maintain accurate and up-to-date statutory records and registers for allocated entities using Diligent Entities.
- Prepare and file statutory submissions within required deadlines, applying appropriate judgement and escalation where needed.
- Manage and coordinate powers of attorney across international entities, including issuance, timely revocation and stakeholder liaison, ensuring appropriate governance controls are maintained.
- Support the incorporation, restructuring and rationalisation of group companies and branches as required.
- Support compliance with relevant regulatory and governance frameworks across multiple jurisdictions (including EU-regulated entities).
- Contribute to the effective governance of international entities (including EU and US), identifying opportunities to enhance local oversight and governance practices.
- Support year end processes, including responding to external audit queries, board approvals, and contributing to the AGM process.
- Work closely with senior stakeholders, providing timely, professional governance advice and support.
- Contribute to strategic and transformation projects, such as governance enhancements, and group restructuring.
- Build strong relationships with cross functional teams and international colleagues.
Skills And Experience Required
- Strong technical knowledge of corporate governance, company law and regulatory expectations within a complex group environment.
- Experience supporting entity governance across multiple jurisdictions, with exposure to international structures including EU and US desirable but not essential.
- Confidence drafting and reviewing board materials, minutes and statutory documentation.
- Ability to manage multiple stakeholders and competing deadlines within a cross border governance environment, navigating jurisdiction specific requirements and operational nuances.
- Experience using governance systems including Diligent Boardbooks and Diligent Entities.
- Comfortable managing the governance lifecycle of companies and branches, including accurate filings, robust recordkeeping and staying ahead of statutory changes.
