Role Overview

Docebo is hiring a Legal Counsel to own the negotiation and management of our commercial contract ecosystem end to end. You'll work directly with global Sales, Dealdesk, and RFP teams as the trusted legal advisor on contract matters, balancing business goals with risk in a fast-moving SaaS environment.

What You'll Do

  • Manage the full negotiation lifecycle for Master Service Agreements, partnership agreements, Statements of Work, SLAs, Software Service Addendums (including AI terms), NDAs, and other client contracts, from drafting through execution.
  • Partner with Sales, Dealdesk, Partnership, Security, and Finance teams as a trusted advisor, chairing or joining meetings as needed to move deals forward and resolve risk.
  • Draft and refine legal terms, contract templates, and amendments, and improve the workflows around them.
  • Run forensic reviews of client contracts to catch risk early and keep terms consistent with Docebo's standards.
  • Advise Sales on contract questions, products, disputes, and terminations.
  • Support the Partnership team in negotiating strategic partnership agreements, including professional services/subcontractor, referral, and reseller agreements.
  • Maintain contract records for benchmarking, and help tighten contract administration processes over time.
  • Coordinate training so internal and external stakeholders understand our contract standards and terms.

What You Bring

  • JD/LLB from an accredited law school, and admission to practice law in the United Kingdom.
  • 3+ years as in-house counsel, with SaaS/tech experience preferred.
  • Relevant commercial transaction experience, including drafting, negotiating, and closing SaaS subscription agreements, data privacy and information security terms, AI terms, and professional services agreements (including SOWs).
  • Strong project management skills and the ability to run multiple deals under tight deadlines without losing sight of the details.
  • Working knowledge of MS Office Suite, including Word, Excel, PowerPoint, and Zoom.

Nice to Have

  • Fluency in French, written and spoken.
  • Working knowledge of GDPR and UK privacy laws.
  • Basic knowledge of Salesforce (or other CRM software) and Linksquares (or other CLM software).
