About the Role

Our client is seeking an enthusiastic, organised, and self-motivated part-time Company Secretary to support the Board and Chair. This newly created role will provide governance, operational, and strategic support to the Board and senior leadership team, helping to ensure the smooth running of board and governance activities.

Key Responsibilities

  • Manage the full Board cycle, including annual planning, agendas, board papers, meeting logistics, minute-taking, and follow-up actions.
  • Maintain the governance calendar and ensure all deadlines, approvals, and decision points are clearly tracked and met.
  • Draft accurate and concise Board minutes, capturing key discussions, decisions, and actions.
  • Maintain decision logs and action trackers, monitoring progress and providing status updates to senior stakeholders.
  • Act as a central coordination point between the Board, Directors, Partners, and senior management.
  • Coordinate the preparation of briefing materials, including business cases, proposals, and presentations for Board consideration.
  • Support the communication of Board decisions, approvals, and priorities, ensuring clarity around ownership and deadlines.
  • Provide governance support for strategic planning sessions and off-site meetings, including agendas, materials, and follow-up actions.
  • Promote governance best practice and support continuous improvement of governance processes and record-keeping.
  • This role may include additional responsibilities as required.

Skills and Experience

  • Previous experience in a Company Secretary or governance role, either in-house or within a professional services or advisory environment.
  • Strong understanding of Board responsibilities and governance frameworks.
  • Commercial awareness and a service-oriented approach.
  • Excellent organisational skills and strong attention to detail.
  • Ability to handle confidential and sensitive information with discretion.
  • Confident communicator with strong written and verbal communication skills.
  • Proactive and able to work independently, using initiative and sound judgement.

  • Comfortable working in a fast-paced environment with changing priorities.

Role Details and Benefits

  • Part-time, 2–3 days per week.
  • Standard working hours of 9:30am to 5:30pm, with flexibility required.
