Part of our broader Capital Markets and M&A team, you will support our Equity Capital Markets (ECM), Mergers & Acquisitions (M&A) and UK Corporate Broking (UKCB) businesses, and our Debt Capital Markets (DCM) business in the EMEA region (excluding Germany, Austria and Switzerland). You will assist in managing exposure to legal, regulatory and reputational risk and serve in an advisory capacity throughout transactions from origination to completion, including issues related to AI and ESG.
Responsibilities
- ECM Business: Advise on IPOs, follow-on offerings, private placements, rights issues, block trades, tender offers, buy-back programmes, equity-linked transactions including convertible and exchangeable bond buy-backs.
- M&A Business: Advise on private and public M&A transactions, including those subject to the UK takeover code and rendering U.S.-style fairness opinions.
- UK Corporate Broking (UKCB): Advise on engagement of Deutsche Bank as corporate broker, sponsor in relation to ECM or M&A, NOMAD, and certain share dealing transactions.
- DCM Business: Advise on Euro Medium Term Note programmes, standalone bonds, liability management transactions including consent solicitations, exchange offers, tender offers, and SEC shelf takedowns for emerging market and investment grade clients.
Provide legal, regulatory and reputational risk insights; liaise with syndicate and client coverage teams; support internal projects and respond to legal and regulatory developments.
Qualifications & Experience
- Excellent technical legal knowledge and skills, particularly in contractual analysis and drafting.
- Broad capital markets and corporate finance experience with a focus on DCM and/or ECM.
- Preferably experience in private practice at a leading law firm or at a leading financial institution; M&A experience is not required.
- Legally qualified in England and Wales, the U.S. or another common law jurisdiction.
- Demonstrated interest in current legal and regulatory issues and market practices affecting international investment banks.
- Ability to exercise good judgment and apply a thoughtful, practical approach to problem-solving.
- Excellent oral and written communication skills.
- Enthusiasm for interacting with colleagues across the bank’s international network.
