We are seeking a highly motivated, dynamic and commercially minded Associate to join our expanding Deloitte Legal corporate team. This role offers a unique opportunity to play a key part in delivering and expanding our "One M&A" strategy, advising clients on M&A transactions, separations and integration workstreams, as well as complex corporate reorganisations (both domestic and international). The successful candidate will work closely with a diverse team of legal professionals, gaining exposure to a broad range of transactions and clients across various sectors.
Key Responsibilities:- Providing support on all aspects of M&A transactions, including due diligence, deal structuring, negotiation of transaction documents, and closing.
- Advising on corporate reorganisations, including mergers, demergers, joint ventures, and restructurings, involving both UK and international entities.
- Actively contributing to the development and implementation of the "One M&A" strategy, working collaboratively with colleagues across Deloitte to identify and pursue cross-service line opportunities.
- Using technology and AI within day-to-day work and encouraging team members to work in this way.
- Drafting and reviewing a wide range of legal documents, including share purchase agreements, asset purchase agreements, shareholder agreements, and ancillary transaction documents.
- Conducting legal research and analysis on complex legal issues.
- Managing multiple projects and transactions simultaneously, prioritising tasks effectively and meeting deadlines.
- Building and maintaining strong relationships with clients, colleagues, and other key stakeholders within Deloitte.
- Participating in business development initiatives and contributing to the growth of the Deloitte Legal practice.
- Qualified Solicitor in England & Wales with Relevant PQE gained at a reputable law firm or in-house legal team.
- Strong academic background with a minimum 2:1 or equivalent degree in Law or equivalent.
- Solid experience in M&A transactions, with a proven track record of advising on complex deals.
- Familiarity with corporate reorganisations and related legal issues.
- Excellent drafting, negotiation, and communication skills.
- Strong commercial acumen and understanding of business drivers.
- Ability to work effectively both independently and as part of a team.
