Requirements

  • Qualified Solicitor: You are a qualified solicitor in England and Wales.
  • Deep SaaS Experience: You bring a minimum of 5-8 years' PQE, gained primarily in-house within a high-growth technology company or in the commercial/TMT department of a leading law firm.
  • Tech Sector Expertise: You have a mastery of commercial contracts specific to software and infrastructure, with deep knowledge of IP licensing, cloud hosting nuances, and liability caps in a SaaS context.
  • Global Mindset: You have a proven track record of drafting and negotiating contracts that bridge multiple international jurisdictions (e.g., EMEA, North America, APAC).
  • Commercial Acumen: You don't just quote the law; you translate complex legal issues into clear, actionable business advice. You understand the balance between protecting the company and getting the deal done.
  • (Desirable) Scale-Up DNA: Previous experience working in a high-growth SaaS or technology scale-up environment, where you have thrived in ambiguity and rapid change.

What the job involves

  • Reporting To: General Counsel. As a key member of the Legal team, you will act as a strategic partner to the business, balancing commercial velocity with robust risk management. You will take ownership of complex, high-value deals that drive Kaluza’s global expansion.
  • Lead Strategic Deal Structures: You will draft, negotiate, and close complex SaaS subscription agreements, professional services contracts, and strategic partnership agreements with international enterprise clients. You will navigate high-stakes negotiations involving IP licensing, cloud liability, and data protection.
  • Drive Commercial Strategy: Acting as a core legal advisor to the Commercial and Bid teams, you will support RFPs, pricing structures, and risk allocation strategies for large-scale international deals, ensuring commercial viability while protecting the business.
  • Scale Legal Operations: You will own and evolve our commercial playbooks, standard templates, and legal guidance notes. Your goal is to create a frictionless contracting process that ensures consistency and efficiency across the sales cycle.
  • Empower the Business: You will design and deliver practical training to Revenue and Bid teams on contracting rules of engagement, deal hygiene, and regulatory risk, empowering them to move faster with confidence.
  • Global Advisory: You will provide pragmatic, business-focused advice on a range of matters including data privacy (GDPR and international frameworks), intellectual property strategy, and supplier contracts (software licensing, cloud hosting).
  • International Engagement: You will operate as part of a global deal team, occasionally travelling internationally to support high-value strategic negotiations in person.
