The firm is a privately held investment group that builds and backs transformative platforms and companies. It operates through two complementary divisions: an investment management arm and a platform development arm. The investment management business designs and manages dedicated vehicles across venture, real assets, and fund strategies. In parallel, the firm originates and develops new platforms and companies around key thematic sectors (primarily Industrials and Entertainment), taking opportunities from first principles through structuring, syndication, financing, and long-term ownership and operation. The team partners with founders and operators and layers in external capital to create durable, capital-efficient platforms that can scale independently and compound over time.
The General Counsel supports the execution of the firm’s investment and platform-building activities across venture, private equity, and real-asset strategies. This role sits at the centre of how capital is deployed and platforms are created - bridging structuring, execution, and ongoing governance across funds, SPVs, and portfolio businesses. You will work directly with partners, founders, investors, and external counsel on live transactions, helping take opportunities from first principles through to fully financed, operational platforms. This is a senior, deal-driven position suited to someone who enjoys being close to commercial decision-making.
Key Responsibilities
- Support and lead the legal execution of investments, acquisitions, joint ventures, and new platform builds across venture, private equity, and real assets.
- Draft, review, and negotiate transaction documents including term sheets, share purchase agreements, shareholder agreements, investment agreements, warrants, convertibles, and side letters.
- Translate commercial structures into robust, executable legal frameworks in partnership with the investment team.
- Support the formation and operation of investment vehicles, holding companies, and SPVs across the UK, US, and offshore jurisdictions.
- Manage investor documentation, subscriptions, side letters, and governance frameworks.
- Ensure structures are clean, scalable, and aligned with investor and regulatory requirements.
- Act as a legal partner to portfolio companies and platforms on governance, cap tables, option plans, follow-on financings, restructurings, and exits.
- Maintain oversight of corporate records, shareholder registers, and material agreements across the group.
- Support M&A, secondaries, and liquidity events.
- Coordinate and manage external law firms across jurisdictions, ensuring high-quality execution, cost discipline, and deal momentum.
- Own transaction timetables and closing processes alongside the investment team.
- Support the Partners on group-level legal, governance, and risk matters.
- Build and maintain internal templates, playbooks, and standard documentation to support a growing, repeatable deal platform.
Profile
- Senior lawyer with strong experience in private equity, M&A, and/or venture/corporate transactions, comfortable working independently in-house.
- Qualified in the UK and/or US, with the ability to operate across both legal systems. Additional jurisdictions are a plus.
- Solid working knowledge of offshore structures (e.g. BVI, Bermuda, Jersey) and cross-border holding and fund vehicles.
- Experienced in running deals end-to-end, not just drafting.
- Commercially minded, pragmatic, and comfortable in a fast-moving, entrepreneurial environment.
- Interested in building and owning platforms over time, not just closing transactions.
