This position will require remote collaboration with associates on GMT, CET time, plus US Time Zones (PST through EST). On occasion, the candidate may be requested to work outside standard hours, and to attend specific locations.
We're a leading digital pathology company. We build AI enabled technology that helps pathology teams work faster, collaborate better, and deliver answers quicker for patients. You will join a small, trusted in house legal team at a scale up pace, working side by side with commercial, operations, and clinical colleagues across multiple countries. This role is for someone who enjoys being close to the commercial engine of the business.
About this Role (Responsibilities)
- We are seeking a commercially focused Legal Counsel to join our in house legal team at Deciphex, reporting to the Lead Commercial Counsel, covering multiple jurisdictions (UK/Ireland/USA/Canada).
- You will be our day to day legal partner to our commercial and procurement teams, supporting our products and services including Patholytix and Diagnexia.
- Your focus is unlocking deals and enabling revenue with speed and accuracy, while keeping clear legal guardrails in place.
- You will operate across time zones and jurisdictions, partnering with subject matter experts when decisions require clinical or operational alignment.
- Draft, review and negotiate a high volume of commercial contracts including master services agreements, SaaS agreements, software license agreements, contractor services agreements, NDAs and supplier agreements.
- Develop, update and standardize contract precedents as necessary.
- Support the structuring, drafting and ongoing maintenance of intercompany agreements between various Deciphex entities.
- Provide practical, accurate and commercially focused legal advice regarding various legal issues including corporate and commercial matters, company secretarial and governance, regulatory, privacy and IP matters.
- Engage with external stakeholders to explain and negotiate contract positions in a clear, commercially grounded way.
- Monitor and keep abreast of legal developments and legislative changes that may impact business and company goals and proactively advise on potential impacts.
Education and Qualifications
- A third level degree in Law or equivalent (mandatory).
- Professionally qualified lawyer - Qualified to practice law in the UK and/or Ireland (Mandatory).
- 2 - 4 years' PQE in the UK and/or Ireland (Essential).
- In-House legal experience with a focus on supporting commercial sales teams (ideally in Tech space).
- Experience in the US is desirable - although all relevant applications will be considered.
About You (Skills and Experience required)
- Strong, hands on experience drafting, negotiating and closing a high volume of commercial contracts for commercial sales teams.
- Highly ideal if you've worked in a med technology, SaaS, technology or similarly regulated environment.
- Practical working knowledge of AI, software, compliance, data privacy and IP, applied in a commercial, business focused way.
- Comfortable working cross functionally and across time zones, influencing stakeholders at all levels through clear, confident communication.
- Familiarity with using generative AI tools within a legal function to maximise efficiencies and productivity.

- Experience working within life sciences sectors such as biotechnology, pharmaceuticals, medical devices, diagnostics, pathology, laboratory services, oncology, academic medical centres and/or wider clinical services.
- Experience with digital health solutions and health-related software platforms.
- Familiarity with healthcare and life sciences services and delivery models in the UK/Republic of Ireland.
- Familiarity with applicable clinical, regulatory and industry guidelines governing life sciences, healthcare, medical devices, diagnostics and related data use.
