Role Overview:
We are seeking a Legal & Company Secretarial Assistant to support the Senior Legal Counsel and Company Secretary in the delivery of in-house legal, governance, and compliance activities. The role is based in London/India and focuses on UK company secretarial matters, legal administration, and coordination with external legal advisers. This position requires both prior corporate legal secretarial experience and a legal background (law degree, paralegal qualification, or equivalent). It is ideally suited to a junior qualified lawyer, paralegal, or legally trained professional with proven experience in corporate governance and UK statutory compliance, seeking to develop a long-term career within a global organisation.
Key Responsibilities:
- Company Secretarial & Governance: Support the Company Secretary with statutory and corporate governance obligations for UK entities. Prepare, review, and file documentation with Companies House. Maintain statutory registers, corporate records, and group structure information. Assist with the coordination of board and committee meetings, including agendas, papers, minutes, and action tracking. Draft board resolutions and written resolutions. Track execution and filing of corporate authorizations. Maintain directors' and officers' registers.
- Data Protection Administration: Maintain data protection records and risk register. Track data processing agreements and vendor compliance documentation. Assist with data subject access requests (DSARs). Coordinate ICO registration renewals and filings. Support updates to privacy notices and data protection policies.
- Legal Administration & Documentation: Support the preparation, execution, and management of legal documentation. Maintain contract registers, legal trackers, and document management systems. Assist with the review of MOUs, NDAs, consultancy agreements, and standard commercial contracts. Ensure consistent document control, version management, and filing standards. Conduct legal and commercial due diligence for projects, including review of third-party documentation and identification of key risks.
- External Legal Adviser Coordination: Act as the day-to-day liaison with external legal advisers and regulatory consultants. Coordinate the instruction of external counsel in line with internal approval processes. Manage document exchange, information requests, and follow-ups. Track external legal matters, deliverables, timelines, costs, and external legal invoices. Process and verify external legal invoices. Maintain legal spend tracking and budget reports.
- Regulatory & Compliance Support: Monitor statutory deadlines and compliance calendars. Support internal compliance reviews and audits. Assist with data protection, confidentiality, and corporate governance requirements. Support implementation of internal legal and compliance policies. Support third-party due diligence documentation.
- Stakeholder Support: Provide legal and company secretarial support to internal stakeholders across finance, HR, and senior management. Respond to routine legal and governance queries. Support ad-hoc legal and corporate projects as required.
Experience & Qualifications:
- Legal background essential (Law degree, paralegal qualification, or equivalent experience).
- Demonstrated experience in an in-house legal, company secretarial, or corporate services role.
- Familiarity with UK data protection law desirable.
- Practical working knowledge of UK Companies House requirements.
- Experience working with or coordinating external legal advisers.
- Experience in a corporate services environment preferred.
