We are looking for an experienced and highly organised Company Secretary to join our group of privately owned companies, based in the Isle of Man. This is a key role, providing a group-wide company secretarial service across entities in the Isle of Man, UK and Jersey, and ensuring all statutory, governance and administrative requirements are met to the highest standard. The ideal candidate will have strong experience in a multi-entity, multi-jurisdiction environment, with excellent technical knowledge, meticulous attention to detail and a hands-on approach to both routine administration and more complex company secretarial matters.
What you will do:
- Act as Company Secretary for entities across the Isle of Man, UK and Jersey.
- Organise board and shareholder meetings, including agendas, packs and minutes.
- Prepare and file annual returns, confirmation statements and other statutory filings.
- Maintain statutory registers, corporate records and beneficial ownership information.
- Manage incorporations, restructurings and dissolutions of companies and related trust structures.
- Support updates to internal processes and documentation in line with changing legislation.
- Liaise with trustees, banks, advisers and internal teams including legal, tax and finance.
- Handle day-to-day administration including updating registers and systems, preparing filings and checklists, opening bank accounts, managing digital filing, and chasing signatures and information.
What you will have:
- Proven experience in a company secretarial or corporate administration role.
- Strong working knowledge of Isle of Man, UK and Jersey company law; experience with JFSC requirements is highly desirable.
- Hands-on experience with statutory filings, drafting minutes and resolutions, and managing incorporations and dissolutions.
- Confidence using company secretarial systems (Quantios) and document management systems.
- Excellent organisational skills with the ability to manage a varied workload to tight deadlines.
- Clear, professional communication skills with the ability to work effectively with senior stakeholders and external parties.
- A practical, proactive approach, comfortable handling both routine tasks and more technical matters.
Qualifications:
- ICSA / CGI qualified or part-qualified, or an equivalent legal / governance qualification preferred.
- Strong academic background with evidence of ongoing professional development.
