Cvent is expanding its Legal Department to meet the demands of a fast-growing, international technology company. The position will be located in London and will report to the Associate General Counsel – Commercial within the Legal department. This individual will be expected to bring a high degree of contracts expertise to the position, and to rely on that expertise along with sound judgment and professionalism to operate independently. All work will require a “business” as well as a “legal” approach, requiring responsibilities and competencies in negotiation, structuring deals and validation of terms against commercial and industry norms.
In This Role, You Will:
- Draft, review, interpret, revise and negotiate terms of SaaS customer agreements, vendor and service provider contracts, and professional services agreements
- Lead negotiations, balancing key risks and opportunities to obtain mutually acceptable contracts
- Anticipate legal issues and resolve sensitive legal projects diplomatically and independently
- Collaborate with various business functions in connection with deal negotiations
- Advise sales management of contractual rights and obligations and clarify contract terms and conditions
- Provide legal advice on a wide range of commercial matters, including intellectual property, data protection/privacy, regulatory compliance, and employment law
- Manage and mitigate legal risks by designing and implementing company policies and procedures
- Conduct legal research and stay updated on relevant laws and regulations affecting the company’s business
- Advise on potential legal disputes and manage any litigation or other legal proceedings
Other Responsibilities:
- Assist with M&A transactions, including diligence, drafting NDAs and other relevant documents
- Assist with corporate governance and ensure compliance with statutory and regulatory requirements
- Engage with Cvent’s Technology team to ensure compliance with data security requirements enforced by various jurisdictions and customers
- Provide support for other special corporate projects
Here’s What You Need:
- Bachelor of Laws (LLB) degree from an accredited, top tier law school
- Extensive post-qualification experience in commercial law, preferably with some in-house experience supporting a sales team. SaaS contracts experience is required
- Excellent drafting and negotiation skills
- Strong knowledge of contract law, corporate law, intellectual property law, and privacy and data protection regulations
- Proven analytical and written verbal communication skills
- Self-starter who understands executing with urgency, and the ability to comfortably work in a deadline-oriented environment
- Strong multitasking skills to track multiple projects to completion
- Strong interpersonal and organizational skills, able to work independently and with a team
- Ability to communicate clearly, concisely and professionally with all levels of management regarding complex legal issues
- High level of integrity and professional ethics
- Proficient in Salesforce.com
- Proficiency in Ironclad (CLM) is a plus
