Role Responsibilities
Review and analyze complex commercial agreements and M&A diligence scenarios to inform AI-assisted legal tools.
Assess and annotate contractual provisions including change-of-control, assignment, termination, and exclusivity terms.
Differentiate and articulate material contract risks versus standard boilerplate, providing concise written rationales.
Deliver structured, high-quality written feedback to enhance AI systems supporting transaction professionals.
Evaluate the severity of identified issues within realistic M&A transactions.
Apply practical judgment to commercial lease agreements and other relevant contract types as needed.
Requirements
Have strong relevant experience in commercial contract drafting, negotiation, or diligence review.
Extensive background reviewing contracts in virtual data rooms during live M&A transactions is essential.
Deep familiarity with provisions governing deal risk such as change-of-control, assignment, and termination mechanics.
Experience conducting or managing diligence at a major firm or managed review context.
Strong written and verbal communication skills with the ability to explain complex legal risk clearly and precisely.
JD and active bar membership (or equivalent legal qualification in your jurisdiction).
