Position: Corporate Finance & Structuring Manager
Location: West London, UK (Hybrid mode / Negotiable)
Our client operates a growing international network of businesses across enterprise technology, SaaS, professional services and digital content, with entities across multiple jurisdictions and further international expansion planned.
This role will take ownership of the financial modelling and structuring work behind the group's international network. Key responsibilities will include multi-entity financial planning, cap table and shareholding structuring, as well as supporting the financial and administrative set-up of new entities across different jurisdictions.
Working closely with the internal finance team and external legal and tax advisers, the role will translate strategic business decisions into clear financial models, practical structures and the required documentation and filings.
Key Responsibilities
- Multi-entity financial planning (approx. 40%) Maintain the network-wide financial ledger by business unit and entity across jurisdictions and currencies: revenue, cost, tax, working capital and free cash flow. Model profit retention and distribution paths for each entity, including local corporate tax, withholding tax, dividend rules and distributable reserves in the relevant jurisdiction. Prepare cash and capital allocation proposals for board and shareholder review. Support annual budgets, quarterly reforecasts and management reporting across entities.
- Shareholding and equity design (approx. 30%) Build and maintain cap tables for each entity and project vehicle, including contributions, valuation, dilution, employee equity and exit scenarios. Model shareholding options for new entities, joint projects and external investment rounds; prepare comparison papers for decision-makers. Translate agreed shareholding terms into instructions for local lawyers (shareholders' agreements, constitutional documents, share allotments) and review the financial terms of draft documents. Maintain the shareholding and governance register β shareholders, directors, beneficial-ownership filings, share classes, reserved matters β in the format each jurisdiction requires.
- New entity set-up and structuring support (approx. 20%) Prepare location and structure assessments for new entities: substance and running costs, banking feasibility, licensing requirements, full-chain tax effect (source-country tax, cross-border payments, recipient-country rules). Coordinate incorporation, bank account opening, tax registrations and statutory filings with company secretaries, registered agents and advisers in each jurisdiction. Support transfer pricing documentation for intra-network service agreements (pricing method, cost base, local file inputs) under OECD-based rules.
- Adviser coordination and documentation (approx. 10%) Brief and manage external legal, tax and corporate services providers in multiple countries; track advice, fees and deadlines. Keep structure charts, entity registers and the master structuring workbook current. Contribute to internal policies on shareholding governance, related-party transactions and distributions. Boundaries of the role Legal opinions, tax opinions and final legal documents are provided by external professional firms in each jurisdiction. The role prepares the analysis, options and instructions, and coordinates execution; it does not give legal or tax advice. Essential requirements Professional accounting qualification or finalist status (ACCA, ACA/CA, CIMA, CPA, HKICPA, ISCA, or equivalent). 3β6 years in corporate finance, transaction services, corporate tax structuring, or a finance lead role in a multi-entity or start-up environment. Strong Excel financial modelling: three-statement models, cap tables, scenario analysis; tidy, auditable workbooks; comfortable working in multiple currencies. Working knowledge of corporate tax, dividend and distribution rules and company registry filings in at least one of the network's jurisdictions, and demonstrated ability to learn the rules of others. Ability to read shareholders' agreements and constitutional documents and extract the financial and control terms. Clear written English; able to produce concise decision papers. Desirable Hands-on experience with entities in two or more of: United Kingdom, Ireland, Cyprus, Czech Republic, Singapore, Hong Kong, UAE, mainland China. Exposure to transfer pricing, withholding tax, participation exemption and foreign-sourced income rules. Familiarity with company secretarial practice (share allotments, beneficial-ownership registers, board minutes) or an equivalent governance qualification. Experience supporting an external investment round or joint venture from the company side. Working-level Mandarin Chinese, given the network's counterparties; not essential. Competencies Structured thinking; accuracy under document-heavy workloads; comfort with ambiguity and multi-jurisdiction rules; discretion with shareholder-level information; independent coordination of external advisers across time zones.
