As a Structured Notes Lawyer at the Vice‑President level in MUFG’s Legal Department, you will provide expert legal counsel and transactional support to the structured notes businesses.

Your role involves collaborating across teams and geographies, engaging with clients, and managing complex legal matters related to structured notes transactions.

Responsibilities

  • Provide comprehensive legal advice, review, draft, and negotiate documentation for structured notes across a wide spectrum of products and underlying asset classes.
  • Advise on the structuring and establishment of new and complex products and innovative business initiatives within the structured notes space.
  • Engage directly with clients during negotiations and assist business units in explaining intricate product features in an accessible manner.
  • Offer strategic guidance on legal, regulatory, reputational, and documentation matters related to structured notes transactions.
  • Analyse third‑party distribution into multiple jurisdictions while managing associated legal and regulatory risks effectively.
  • Deliver training sessions on legal and regulatory issues to employees across the firm, enhancing overall compliance awareness.
  • Participate actively in working groups and committees to contribute expertise to firm‑wide projects and policy development.
  • Efficiently manage external law firm engagements and monitor legal spend to ensure cost‑effective service delivery.
  • Support MUFG Bank and MUFG Securities EMEA plc on an entity‑neutral basis, maintaining integrity across all responsibilities.
  • Identify potential conflicts of interest between entities promptly and escalated them appropriately to ensure robust governance.

Qualifications

  • 5–7 years of post‑qualification experience in private practice at a major law firm or in‑house at a significant financial institution.
  • University degree in law with strong technical understanding of structured notes transactions.
  • Demonstrated commercial awareness of current market trends and regulatory developments affecting structured products.
  • Proven ability to build effective stakeholder relationships quickly through excellent interpersonal skills.
  • Exceptional written and verbal communication skills for explaining complex legal concepts clearly to non‑technical audiences.
  • Experience supporting new or developing business lines with flexibility to navigate uncertainty.
  • Collaborative approach with success in team‑oriented or matrix environments.
  • Proactive attitude and enthusiasm for driving positive change within an organization.
  • International outlook with sensitivity towards cultural differences.
  • Efficient working style marked by independence, urgency, commercial acumen, pragmatism, curiosity, and accountability.
