The Assistant Company Secretary assists the Head of Compliance/Company Secretary in providing company secretarial services to Coverys and its sister and service companies in the UK and Ireland.
Key Responsibilities
- To carry out company secretarial tasks including but not limited to:
- Drafting agendas
- Collating and distributing Board and Committee meeting packs
- Uploading of meeting packs to Diligent
- Minute taking and drafting of minutes in accordance with agreed service standards
- Managing and following up of Board and Committee open actions
- Managing the corporate calendar
- Assisting with the drafting and circulation of company resolutions
- Drafting Companies House / Companies Registration Office submissions for approval and making the submissions, including:
- Appointment and resignation of directors
- Statutory accounts for all Coverys companies
- Confirmation statements
- Ad hoc submissions for each company as required
- Draft and assist with regulatory filings to the PRA, FCA and CBI, as well as returns to local data protection bodies and similar organisations.
- Maintain the gifts and hospitality register.
Skills / Knowledge / Ability
- Able to work both independently with limited supervision and as part of a team
- Able to respect the need for discretion and handle confidential information
- Good communication skills
- Good working knowledge of MS Office applications
- Good level of attention to detail particularly with regard to the presentation of work
- Ability to prioritise and work to strict deadlines
- Ability to exercise sound judgement with confidential matters
Educational / Experience
- Educated to degree level in a relevant discipline
- 2-5 years relevant experience
- Insurance market experience, awareness and knowledge required
- ICSA qualified or part qualified is preferred
