About the Role
Alba Partners is seeking an experienced Legal Due Diligence Analyst to support Group Treasury on a large-scale contract remediation and legal-entity rationalisation programme. The role sits at the intersection of Legal, Treasury, and Regulatory Change, and involves reviewing, analysing, and tracking contractual documentation to ensure legal, regulatory, and financial accuracy across the Group's funding, collateral, and liquidity structures.
You will work closely with Treasury Operations, Legal, Risk, and Finance teams to interpret key clauses, assess counterparty and entity exposure, and help translate complex legal terms into actionable operational requirements.
Key Responsibilities
- Conduct legal and contractual due diligence across a wide range of Treasury and funding agreements (including ISDAs, CSAs, GMRAs, intercompany loan agreements, and guarantees).
- Review, summarise, and validate contractual clauses linked to collateral, margining, and liquidity terms.
- Support the Legal Entity Rationalisation (LER) and IBOR/SONIA transition workstreams, ensuring accuracy and traceability of legal documentation.
- Liaise with internal stakeholders across Legal, Treasury, Risk, and Operations to capture requirements and resolve documentation discrepancies.
- Assist in developing and maintaining a central contract tracking register, supporting audit and compliance reporting.
- Collaborate with external counsel and advisory partners during due diligence and document negotiation phases.
- Translate complex legal and financial language into clear, structured reports and actionable data for business and technology teams.
Skills and Experience Required
Must-Have
- Background as a Solicitor, Paralegal, or Legal Analyst within banking, finance, or capital markets.
- Direct experience reviewing and analysing Treasury or financial contracts (ISDA, CSA, GMRA, GMSLA, loan or repo documentation).
- Understanding of liquidity and funding frameworks (LCR, NSFR, PRA110, ILM).
- Strong grasp of financial regulations (Basel III/IV, EMIR, MiFID II, IFRS 9).
- Ability to bridge communication between Legal, Treasury, and Risk functions.
- Excellent attention to detail, document control discipline, and stakeholder management skills.
Desirable
- Experience supporting IBOR transition, entity restructuring, or contract remediation programmes.
- Exposure to document management tools such as Relativity, HighQ, or SharePoint.
- Degree in Law, Finance, or related discipline; LPC or equivalent qualification desirable.
- Multilingual capability (English plus Spanish/French/Italian) advantageous.
