Our client, a leading industrial services group, seeks a Company Secretarial professional. Duties will include:
- Board & Committee Support: To own the schedule of meetings of all boards of directors, committees of the boards of Directors and other ad-hoc committees and to ensure that all members and attendees are informed of the dates and times. Attend and minute board and committee meetings. Prepare agendas, collate and distribute meeting packs, schedule meetings, arrange logistics, and provide general support.
- Compliance: To maintain UK statutory company records using both physical and electronic filing systems, making filings to Companies House ensuring all information held is correct and filings are made in a timely manner.
- Company Secretarial Support: Maintain department spreadsheets, company registers, archives, and records. Update and manage Group corporate structures. Assist with liquidations and dissolutions of Group subsidiaries which are inactive and dormant. Support the Group's businesses with various requests, including KYC requests and due diligence processes.
- Document Management: Format, proof read and prepare documents and presentations. File forms relating to changes in corporate information and draft skeleton minutes for meetings.
- Governance Projects: Support governance projects, including board effectiveness reviews, and organise board and committee meetings, take minutes, and track action points.
You should have at least three years Company secretarial and board experience, ideally operating within a group of companies, be experienced in taking minutes and arranging meetings (and willing to quickly pick up other areas not done before – whilst salary will reflect total experience) and be fully experienced in using all Microsoft products. The role is 80% WFH and the office is close to the A1/M18 junction or a few minutes on the bus from Doncaster station.
