Are you an experienced governance professional and qualified Company Secretary who enjoys combining strategic influence with hands-on delivery?

Commsave Credit Union is looking for a Company Secretary to act as a Governance Lead to support our Board, strengthen our governance framework and help us continue to grow responsibly and sustainably.

We are a member-owned financial services organisation committed to helping our members achieve long-term financial wellbeing through safe savings, responsible credit and financial education.

Following significant growth and change, this role will play an important part in ensuring our Board has the information, skills and support needed to make informed decisions and operate effectively.

Reporting directly to the Chair, you will work closely with Board members, the CEO and senior leadership team.

Key responsibilities

  • Review our current governance position and implement a clear improvement plan.
  • Support compliance with FCA, PRA and relevant Senior Management Function requirements.
  • Coordinate Board meetings, including agendas, papers, minutes and action tracking.
  • Review and update policies and key governance documents.
  • Coordinate annual Fit and Proper assessments and associated checks.
  • Support Board recruitment, succession planning and onboarding.
  • Arrange Board evaluations, peer reviews and development activity.
  • Identify training needs and coordinate an annual Board development programme.
  • Provide constructive challenge and help keep meetings focused and productive.
  • Work closely with senior stakeholders on governance and regulatory matters
  • Supporting AGMs and attendance at Special General Meetings (SGMs)

About you

You will ideally hold ACG or FCG status through The Chartered Governance Institute UK & Ireland, (formerly ICSA) and Grad CG candidates with substantial relevant experience may also be considered,

You will be credible, organised and confident, with the ability to build positive relationships while influencing and challenging appropriately.

You are likely to bring

  • Experience within governance and company secretarial work in a regulated environment.
  • Experience supporting Boards or senior leadership teams.
  • Strong written communication and attention to detail.
  • The ability to interpret legislation and regulatory guidance.
  • Excellent planning, organisation and stakeholder management skills.
  • Experience within credit unions, banking, insurance, pensions, mutuals or another regulated membership organisation would be advantageous, but is not essential.

The role offers flexibility around working patterns, although attendance is required at our monthly Saturday afternoon Board meeting, alternating each month between in-person and online.
