Hybrid administration and governance role within a medium-sized corporate services team servicing a broad spectrum of client schemes and structures, both private and publicly listed.

Key Responsibilities:

  • Support the Team Manager to ensure team efficiency and compliance with Apex’s policies and procedures.
  • Guide junior team members and execute duties to ensure Company Service Level Agreement targets are met.
  • Build effective interpersonal relationships at all levels and manage a portfolio of clients.
  • Maintain sound knowledge of company secretarial tasks and relevant regulatory frameworks.
  • Ensure all work undertaken complies with relevant fund and corporate documentation, regulatory requirements and anti-money laundering regulations.
  • Assist the Team Manager in supervision, monitoring, and appraisal of the team.
  • Adhere to Company procedures at all times.
  • Promote effective relationships between Apex and its clients.
  • Help to build effective relationships between individual team members and other departments.
  • Motivate and empower reports by building their capabilities.
  • Deputise, if required, during Line Manager absences.
  • Assist in managing, controlling and co‑ordinating own workloads and workloads of others in the team.
  • Assist with the day‑to‑day deliverables and the training of team members.
  • Assist with overseeing quality control and meeting time‑orientated deadlines.
  • Ensure work is undertaken in accordance with Apex’s standard operating procedures and within agreed deadlines.
  • Assist in ensuring all outgoing correspondence and presentation of work is of the highest standard.
  • Liaise confidently and knowledgably with clients, directors, and other service providers.
  • Liaise with key personnel in client groups to ensure that all Company Secretarial and Fund Administration related operational issues are communicated effectively.
  • Assist with ensuring all client requests are responded to swiftly and accurately.
  • Communicate any client‑related issues of concern to the Line Manager.
  • Attend and participate actively in regular team meetings.
  • Make positive suggestions as to how effective changes can be made to improve the progression of workflows.
  • Act as a signatory.
  • Understand, assist, and execute delegated elements of new business processes.
  • Maintain a sound understanding of relevant statutory, regulatory and governance knowledge that may impact Apex and its clients and disseminate relevant updates to non‑executive directors and clients when appropriate.
  • Assist and guide client Boards of Directors on corporate governance matters and regulatory and statutory developments in the industry.
  • Provide assistance in ensuring that the client’s policies, procedures, and corporate documents are updated in line with relevant regulatory or statutory changes.
  • Co‑ordinate and arrange board meetings of General Partners of funds, listed companies, and other companies, ensuring all AGMs, proxies and notices are dispatched in a timely manner.
  • Maintain the highest quality and demonstrate control of processes for meetings.
  • Attend board meetings, assisting with taking of minutes and presentation of reports.
  • Assist with the smooth running of the Company Secretarial and Fund Administration elements of the Investment, and Call and Distribution processes, including preparation for board meetings, minutes, and notices.
  • Attend internal meetings organised with relevant personnel to establish the required tasks and deadlines to be undertaken internally once investment (or disposal) recommendations have been received.
  • Assist with the on‑going review and updating of company secretarial and fund administration procedures for the team.
  • Assist with ad‑hoc projects, as required.
  • Proactively raise issues with Senior Management and encourage a solution‑driven environment.
  • Reinforce Senior Management messages and changes in working practice positively throughout the team.
  • Promote a risk management culture within the business by proactively highlighting areas where improvements can be made to reduce operational risk.
  • Any other duties in the scope of the role that the company requires.

Skills Required:

  • At least 3 years working with a financial institution, preferably within private equity.
  • A proactive approach to problem solving.
  • A confident manner and the ability to communicate with clients effectively.
  • A flexible approach to work and good time management skills.
  • A strong team player with a commitment to deliver outstanding client service.
  • Leadership skills and the ability to mentor and coach a small team.
  • Ability to work on own initiative and demonstrate leadership and supervisory skills towards less experienced staff.
  • Ability to work under pressure.
  • Strong IT skills.
  • Target professional qualifications – CGI (formally ICSA), MSC in Corporate Governance or similar.
