Reporting to the Head of Legal, the Legal Contracts Manager will be responsible for the day-to-day legal and commercial management of critical contracts relating to strategic projects. This includes oversight of deliverables, service levels and milestones, as well as leading the change control process, negotiating new agreements, and ensuring that contractual risks are identified and managed appropriately. The role requires close coordination with internal teams and third-party suppliers to ensure that contractual obligations are met, changes are effectively implemented and that risks are effectively managed throughout the contract lifecycle.

Key Responsibilities

  • Contract Oversight and Delivery Management
    • Manage a portfolio of strategic outsourcing contracts.
    • Ensure all obligations, deliverables and milestones are tracked and delivered in accordance with contract terms, acting as an early warning system to key stakeholders where contract obligations (Rotork’s or suppliers’) are at risk of being missed or only partially performed.
    • Work with operational teams to monitor supplier performance and escalate issues where necessary.
    • Ensure regular contract reviews take place and that any risks or deviations from agreed terms are documented and actioned.
  • Change Control Process Management
    • Administer and maintain the change request process for all relevant contracts in accordance with contractual and internal governance requirements.
    • Coordinate stakeholder input and approvals for all proposed contract variations in line with internal governance requirements.
    • Scrutinise change control requests to provide recommendations on whether they are in line with the spirit and intent of the underlying contract and the current status of the programme at the time of the request, highlighting and explaining to the decision-maker where such requests may be in the greater interests of the supplier rather than Rotork.
    • Maintain accurate records of all change requests and associated decisions.
  • New Contracts
    • Support the negotiation of new strategic outsourcing agreements and key supplier contracts.
    • Review contract terms in alignment with company policies, legal standards, and risk appetite.
    • Work collaboratively with Procurement, Finance, and any other relevant internal stakeholders to ensure contract structures support operational needs.
    • Prepare summary reports on the key risks and mitigation measures in any proposed contracts as part of their respective approval processes before signature.
    • Ensure negotiated terms are accurately documented, approved and transitioned into contract management.
  • Legal and Commercial Risk Management
    • Provide legal guidance on contract interpretation, performance issues and risk exposures.
    • Identify and manage any contractual risks, including ensuring ongoing compliance with relevant UK laws and applicable regulatory requirements and escalate as appropriate.
    • Support dispute resolution processes and ensure that outcomes are appropriately documented and actioned.
  • Internal and External Stakeholder Engagement
    • Develop an internal governance framework/protocol for the effective management of the relevant contracts.
    • Act as a central point of contact for internal teams (Business Transformation, Procurement, Finance, IT) on contract-related matters.
    • Liaise with third-party suppliers to ensure smooth contract execution and governance.
    • Participate in supplier governance meetings, contract review sessions, and operational check-ins to support contract delivery.
  • Documentation and Reporting
    • Ensure all contracts, variations, change requests, and supporting documents are properly and accurately maintained in a central, accessible repository.
    • Prepare regular reports on contract status, key risks, mitigation measures, performance issues, and upcoming actions for senior stakeholders.

Success in This Role Will Look Like

  • Timely and compliant delivery of contractual obligations and milestones.
  • Robust and well-documented change control processes, resulting in the avoidance of runaway/material additional costs for the relevant programme/outsourcing contract except to the extent key stakeholders are aware and have approved in advance with full awareness of consequences.
  • Clear visibility of contractual risk and effective mitigation strategies for key stakeholders.
  • Strong working relationships with internal teams and suppliers.
  • Well-maintained contract documentation and reporting.
