Are you an experienced and pro-active governance professional/Assistant Company Secretary looking for a challenging opportunity within the Asset Management sector? Are you looking for senior board exposure spanning both board support and governance advisory work? This substantial international Asset Manager with cÂŁ900M AUM, and 5000 employees across 60 countries offers a challenging opportunity for an ambitious governance professional to deliver seamless board support, board advisory and governance and wider statutory compliance activities.
Whilst the opportunity will be working for the Asset Manager’s global trusted outsourced service provider, your sole focus or “client” will be the Asset Manager - so this is in effect an “in-house” opportunity working on-site as part of a team.
Your key responsibility will be in delivering appropriate board support and advice and ensuring strong statutory compliance including:
- Organising and managing all aspects of board planning including agendas, distribution of papers, attendance (both as Secretary and occasionally as Chair) and the production and distribution of high-quality minutes
- Developing the group governance framework and ensuring/maintaining appropriate policies and procedures
- Providing advice to the board on legal and governance matters in accordance with best practice
- Horizon scanning for regulatory changes and taking appropriate action to maintain compliance
- Supporting the group with all aspects of statutory compliance including filings etc
- Being the key point of communication for all relevant stakeholders including boards, shareholders and regulators
- Co-ordinating the preparation and circularisation of annual reports and other shareholder communications, including AGM planning etc
As the ideal candidate you are likely to:
- Be of degree calibre and preferably be a qualified Company Secretary
- Bring a minimum of 5 years broad-ranging UK company secretarial and governance technical skills with proven board support skills including attendance at boards/minute taking etc
- Have experience of working within the asset management or wider financial services sector bringing first-hand experience of the governance of FCA regulated boards
- Have the confidence, gravitas and strong communication skills to be credible in liaising with senior leadership
- Have strong organisational, planning and time management skills and the ability to manage others.
This role is based in London (or Bristol) and is offered on a hybrid basis on the understanding that you are able to commit to being in London to attend boards etc on an “as and when needed” basis. On offer is a salary of up to c£75,000 (neg) plus bonus and benefits. Please note that in order to be considered, candidates must have full eligibility to work within the UK without needing a visa as sponsorship is not available.
