The Business Selection & Transactional Conflicts team is a global function that sits within the Client Engagements & Conflicts Office within Banking. We work across our Banking & International divisions to drive superior business alignment and safeguard the firm against franchise risk. We holistically vet alternative opportunities, client relationships, and revenue streams, while protecting Citi by mitigating transactional conflicts and franchise risks in partnership with the business and control functions.
Responsibilities:
- As a Senior Vice President on the Business Selection & Conflicts team, you will be at the heart of Citi's decision-making process for high-stakes transactions. In this high-impact role, you will apply your expertise in risk management and banking to analyze complex deals and provide critical guidance. A component of this role also involves leading enhancements to our core platform. This position offers unique exposure to senior leadership across the firm as you help navigate complex client alignment decisions and franchise risk scenarios and drive technological innovation, directly influencing the firm's strategic direction and risk appetite.
Deal Analysis & Diligence:
- Conduct in-depth due diligence on potential transactions, analyzing both qualitative and quantitative data to identify and assess potential conflicts of interest and franchise sensitivities.
- Partner directly with deal teams to understand industry dynamics and the specifics of each opportunity, ensuring a comprehensive picture is developed and any franchise risks are identified.
- Determine what transactions need to undergo heightened review and elevate to broader team.
- Act in a fair and impartial manner avoiding client, regional and franchise bias.
- Prepare and present clear, concise materials for business leaders, documenting key discussions and decisions to ensure a clear audit trail.
Risk Management & Coordination:
- Facilitate the end-to-end business selection and conflict review process, coordinating with stakeholders in Banking, Legal, Compliance, and Risk to drive consistent and transparent decision-making.
- Participate in and contribute to high-level discussions involving senior deal team members, franchise heads, and leaders from control functions.
- Ensure client discussions and final documentation align with the decisions and stipulations set forth by the Business Selection & Transactional Conflicts team.
Platform Modernization & AI Strategy:
- Assist with the strategic enhancement of the OPUS system, Citi's core conflict clearance module.
- Collaborate closely with the global team to gather requirements and conceptualize system enhancements that address business needs.
- Partner with technology teams to drive the implementation of system changes, from design and testing through to deployment.
- Champion the integration of Artificial Intelligence (AI) as a critical component of the platform's evolution, focusing on solutions that significantly increase process efficiency and elevate the user experience.
Qualifications:
- Extensive experience in banking, finance, law or a related field with significant exposure to M&A.
- Deep familiarity with a range of corporate and investment banking products, services, and transaction types.
- Proactive, commercially minded, and possess exceptional business judgment with a keen eye for detail.
- Strong ability to synthesize complex information, perform qualitative and quantitative analysis, and distill key issues.
- Outstanding written and verbal communication skills, with the polish and credibility to engage effectively with senior leadership.
- Ability to help drive change to business practices by working effectively across multiple businesses and geographies.

Education:
- Bachelor's/University degree or equivalent experience in finance, economics, business administration, or a related field.
- A JD candidate must have a law degree from a top-tier accredited law school, be admitted to practice law in the relevant jurisdiction, have at least 1-2 years of comprehensive experience specializing in general corporate law, with emphasis on M&A transactional work in a corporate or law firm environment.
- Master's degree preferred.
