Job Purpose:
A loans product SME who manages a portfolio of complex structured deals, whilst providing guidance and support to internal and external business partners and to the operations teams. This role has specific responsibility for bespoke deals that are different from established market standard, and to provide continuous guidance, training and mentoring to other members of the department. This is a high profile specialised role; the objective is to sign up for, and handle, Facility Agent obligations in syndicated credit facilities whilst ensuring there are no legal, regulatory or capability encumbrances to the role, or any associated risks. Correct execution of the Facility Agent role is often crucial to securing further business for the bank.
Key Responsibilities:
- Involvement with senior stakeholders/business heads, meeting with business to discuss new deal flows and attending front office pipeline meetings.
- Liaise with arrangers, lawyers and originating business areas in the review and negotiation of complex draft loan/credit documentations from an operational, legal and agent's role perspective. Provide comments, requests for amendments, and feedback as necessary.
- Act as an escalation point within the team when staff need assistance.
- Review the most complex facility documentation, particularly with new types of product, negotiate the terms and conditions, and establish the procedures to handle them, providing a template for future deals of a similar structure.
- Attend meetings/calls with Front Office personnel to ensure understanding of the responsibilities of the Agent role for individual transactions.
- Review and manage complex waiver/amendment/restructuring requests.
- Manage complex actual or potential Events of Default. Take the lead in negotiating on syndicate's behalf where necessary, and oversee calls and meetings with syndicate.
- Co-ordinate and lead event driven calls with lenders/lawyers.
- Take a key role as a senior SME and have the necessary technical skills to build relationships with stakeholders, help manage the workflows across the team, providing guidance to, sharing knowledge with, and mentoring the less experienced members of the team.
- Provide information, instructions and guidance to the agency operations team to enable onboarding and loan booking.

Knowledge/Experience:
- A confident, professional syndicated loans documentation expert with extensive experience, and comprehensive understanding of all facets of syndicated loans business relating to documentation and the Facility Agent role.
- Responsibilities of the facility agent, and any legal, regulatory, credit, or financial restrictions.
- Risks the facility agent is exposed to.
- LMA and LSTA loan documentation.
- Common market and business practices.
- Structure of the different types of facility.
- Commercial aspects of the different types of business.
- Roles of other parties to syndicated loan documentation e.g. Security Agent, Collateral Agent, Account Bank, Intercreditor Agent, Arranger.
- Debt workout situations.
- Treatment of L/Cs, guarantees, and ancillary facilities.
- Withholding tax rules and regulations, particularly treatment of FATCA.
- Industry initiatives and changes.
- Understanding of other products and how they may integrate with the loans product as well as knowledge of operational procedures such as rate fixings, rollovers and payments.
