Team/Role Overview
The Legal Negotiator is a non-attorney role, responsible for representing the Markets Legal Contract Management Team in providing Transaction Management advice and support to Citi’s businesses and functions. The Transaction Management area is responsible for supporting the negotiation, transaction processes, documentation, and execution of business transactions (e.g., establishing a trading relationship, documenting transactions or services with Citi, documenting trading in securities between two or more parties).
What you’ll do
- Drafting, negotiation, co-ordination, implementation and execution of a variety of master trading documentation including, but not limited to, ISDA Master Agreements, Credit Support Annexes, Account Control Agreements, documentation relating to Initial Margin, Global Master Repurchase Agreements, Global Master Securities Lending Agreements and documentation relating to securities lending arrangements, Electronic trading agreements, amendments, and various ancillary documentation (e.g. guarantees and NDAs) across a wide range of counterparty types, and in compliance with Citi’s policies and procedures.
- Engage with the firm's institutional clients and their internal/external counsel as well as Citi’s first line, second line and other internal constituents during negotiations.
- Integrate subject matter expertise to reply to queries from Citi businesses and clients regarding the contractual documentation and escalates to senior legal as required.
- Stay abreast of new and changing regulatory and legal issues and industry initiatives and ensures compliance with regulatory requirements.
- Advise the Risk function and business partners on risks and associated documentation requirements based on product and relevant jurisdiction(s).
- Participate in the development and implementation of key processes and controls when documenting new clients, addressing governance/control issues when they arise and escalating to senior legal where appropriate.
What we’ll need from you
- Bachelors/University degree – law degree preferred.
- Previous experience working in a large financial institutional setting.
- Extensive knowledge negotiating a range of commercial contracts including master trading agreements and associated key trading infrastructure documentation including collateral documentation is essential.
- Familiarity with OTC derivatives and securities financing transactions (SFTs).
- Proven record of completing complex documentation in a challenging and changing environment.
- Ability to manage complex documentation accurately and efficiently.
- Must possess excellent interpersonal skills as well as the ability to interact and communicate effectively with senior management.
- Previous work experience in a senior support capacity would be advantageous.
