Team/Role OverviewThis role is to support the Company Secretary in providing Board and governance support and advisory services to Citigroup Global Markets Europe AG; act as trusted advisor to the Management Board, the Supervisory Board and its Committees. You will be ensuring the integrity of the governance framework, being responsible for the efficient administration of a company. You will serve as a central point of contact for governance related topics on a day-to-day basis. You are required to work with the Company Secretary and Legal Counsel to ensure compliance with statutory and regulatory requirements and communicating and implementing decisions of the Boards. You will coordinate with Company Secretarial colleagues across the global organisation. teams of other Citi legal entities.
What you’ll doBoard Services- Work closely with the Board chairs in setting the board agendas, creating meeting packs, attending and preparing robust meeting minutes for regular and extraordinary governance meetings of the Management Board, the Supervisory Board and its currently four committees, and the Shareholders’ meetings.
- Follow up and track post Board meeting action items.
- Assist in setting and maintenance of the Board meeting dates and calendars.
- Interact with a range of internal and external stakeholders.
- Organize and arrange Board training, tutorials and deep dive sessions.
- Support the annual Board self-evaluation, the skill and suitability assessment and the succession planning of the Boards.
- Onboard new Board members, assist with induction process.
- Take part in reporting of decisions according to German and EU regulations.
- Ensure good information flows within the Board and its committees and between senior management; liaison with CEO and CAO office.
- Maintain terms of reference, charters, by-laws and articles of association.
- Provide information requested by regulators, external auditors and Internal Audit.
- University degree, ideally in Governance, Law, Business, Administration or Accountancy
- Chartered status from the Chartered Governance Institute (formerly Institute of Chartered Secretaries and Administrators - ICSA) would be an advantage
- Good awareness of corporate governance principles and practices
- Experience in financial services in-house or experience working with financial services clients would be an advantage.
- Excellent English language skills are essential, English native speaker and/or German language skills are a plus.
- Involvement in working on teams and influencing diverse resources and stakeholders; and working in large, complex organisations.
- Very good demonstrable organizational, time management and administrative skills; minute taking and meeting management skills are essential.
- Disciplined self-starter, able to work autonomously but also able to integrate into a larger team.
- Attention to detail, to work well under pressure.
- Ability to work effectively at a variety of levels in the organization, display highly effective networking and comfortable acting as an agent for positive change with agility and flexibility.
- Team player with strong ownership mentality.
