The Corporate Tax and Incentives group acts for a wide range of clients that include public/private companies, financial institutions and start-ups, operating both in the UK and internationally. The work mix is broad, covering predominantly corporate, real estate and finance transactions, with opportunities to assist with investment funds tax and employee incentives advice. The team works closely with all Divisions across the Firm.
Roles and Responsibilities
- Provide transactional and advisory legal advice to clients in a succinct, practical and persuasive manner
- Manage a varied workload efficiently and cost effectively with supervision, appropriate to level of expertise
- Draft accurately and logically, making appropriate use of precedents
- Apply a commercial approach to research and evaluate relevance and accuracy in delivery of advice
- Support Partners in client marketing and business development activities to develop the department’s client base and network of referrers and contacts
- Contribute to divisional knowledge and know-how initiatives
- Build rapport with clients and develop effective working relationships
- Comply with all relevant legal and regulatory obligations including the Solicitors Regulation Authority (SRA) Standards and Regulations, and Principles
Skills and experience
- Be an England and Wales qualified solicitor or equivalent of NQ-2 PQE
- Experience of dealing with the tax aspects that arise in mid‑market M&A transactions, particularly the tax issues associated with target businesses that have put in place option schemes or otherwise have management shareholders
- Experience in providing advice in the Private Capital area
- Strong commitment to providing clients with a high‑quality service
- Highly motivated, able to deal effectively with conflicting requirements
- Share schemes experience, specifically in drafting equity incentive plans for smaller, start‑up businesses would be of interest, but is not essential
