We’re looking for a Deputy Company Secretary to join us on a 14‑month fixed term contract. As Deputy to the Company Secretary you will assist in providing a full range of company secretarial services and governance support to the Group’s UK and overseas entities, from running Board and Committee processes through to supporting how governance operates more widely across the business. It’s a varied role, that offers plenty of exposure. You’ll take ownership of co sec activities across our UK and international entities, working closely with senior stakeholders to add value across projects, transactions and Board matters.
About the role
- Supporting the ongoing development of the Group’s governance framework, aligned to UK best practice
- Leading company secretarial input on projects, including restructurings, financings and M&A
- Running board and committee processes end-to-end, from agenda setting through to clear minutes and follow-up
- Working with overseas providers to maintain strong governance across international entities
- Supporting share plans and corporate actions, ensuring accuracy and compliance
- Guiding junior team members and keeping delivery on track
- Looking for ways to improve how the team operates, including better use of systems and tools
- You’ll keep projects on track, ensure international entities are well supported and compliant, and help the team operate efficiently, with a focus on quality and adding value beyond compliance
Required skills & experience
- Qualified or part‑qualified Company Secretary (CGI/ICSA or equivalent), or with relevant experience in a governance role
- Experience supporting Boards and Committees, with a strong understanding of UK corporate governance and statutory requirements, including across international entities
- Comfortable working across projects and transactions, able to manage competing priorities and keep momentum
- Detail‑orientated with sound judgement, and confident engaging with senior stakeholders
- Strong drafting skills, with the ability to produce Board minutes and corporate resolutions independently
- Collaborative in approach, with an interest in improving how the team operates, including the use of systems and automation
- Working knowledge of insurance markets, including Syndicate structures, a distinct advantage
- Sound technical knowledge of company law and corporate governance best practice
- Experience providing company secretarial support in overseas jurisdictions advantageous
- Exposure to private equity structures or transactions helpful, but not essential
- We are open to candidates with experience gained in a PLC, private and/or PE backed environments, what matters most is your ability to apply governance effectively in a fast-moving, commercial business
