We have an excellent new opportunity for an Assistant Company Secretary to join our Legal, Regulatory Affairs, Ethics & Compliance, and Secretariat Function (LRECS). LRECS focuses on providing a diverse and inclusive environment with a strong emphasis on wellbeing and delivering opportunities for growth and personal development.
In this role, you will deliver high-quality governance and company secretarial support across Centrica plc and the wider Group, with a clear focus on the effective delivery of subsidiary governance, while also supporting plc governance activity as required. You will ensure the smooth running of our subsidiary activities and where required, plc activity, maintain accurate statutory and market compliance and support high standards of shareholder and regulatory communications.
Location
We work flexibly in line with our Flexible First working arrangements believing that empowered colleagues are happier and more productive. The successful candidate will, however, need to be comfortable commuting to our Windsor office on a weekly basis and to our other locations as may be needed. Please note that over the coming months we will have an office in Reading and also London Paddington where you may be required to work.
What will you do?
- Subsidiary Governance: Deliver day-to-day governance and compliance across UK/international entities, maintain statutory records and filings, coordinate entity changes, and ensure accurate data in Blueprint/Diligent. Support year-end approvals, transactions, restructurings and due-diligence/KYC with Finance, Tax, Legal and external advisers.
- Board & Committee Support: Prepare and quality-check Board/Committee papers and governance materials.
- ARA & AGM Delivery: Coordinate governance inputs, timelines and approvals for the ARA. Support AGM planning, Notice drafting, logistics, scripts and external liaison.
- Market Compliance: When required, support insider list management, closed-period controls and trading-restriction communications.
- Secretariat Operations: Support daily Secretariat workflows, inbox management, tracking, process improvements and template/playbook maintenance.
Here’s who we’re looking for:
- A qualified Company Secretary.
- Experience within Financial Services or at a global company (public or private).
- Working knowledge of UK listed-company governance and Secretariat processes (ARA/AGM, DTRs, UK Listing Rules) with a practical, delivery mindset.
- Demonstrable experience in subsidiary governance/entity management.
- Excellent quality assurance skills and meticulous attention to detail.
- Proven project management capability across tight, multi-stakeholder timelines (ARA/AGM and entity compliance cycles).
- Confident stakeholder management; able to influence and collaborate with senior leaders and external agencies.
- Proficiency with Blueprint/Diligent, SharePoint and MS365 collaboration tools.
