Reporting to the CFO, the In-House Legal Counsel is a standalone role which supports the whole of the CSA Catapult organisation, partnering with stakeholders (including the Senior Leadership Team) to provide high quality, proactive legal advice for the Catapult across a broad range of areas.
The In-House Legal Counsel will draft, review, negotiate and advise in relation to a broad range of commercial matters including: R&D collaboration agreements, academic/industry consortium agreements, intellectual property licences, and agreements for the procurement of goods, services and software. The role will support the continuing growth and development of operations at several sites across the UK.
In addition, the In-House Legal Counsel will provide support on other matters as and when they arise (with appropriate support from external counsel where required) including but not limited to: data protection compliance and subject access requests; dispute resolution; property matters; corporate/company secretarial matters; and HR support.
As Legal Counsel, you will:
- Provide advice on all legal matters impacting the organisation
- Instruct external counsel where appropriate to represent the organisation’s interests and ensure value for money
- Provide legal input into all appropriate governance, regulatory and compliance policies and processes
- Bring to the attention of the senior team any areas of unmanaged risk, or unique risks that are not otherwise addressed in the business
- Review, draft and negotiate a range of collaborative R&D and commercial contracts covering the full spectrum of activities including agreements relating to industry R&D collaborations, EU contracts, charitable funding and consortium agreements, along with NDAs, service, consultancy, framework and material transfer agreements.
- Provide clear, pragmatic advice on the implications of contractual terms within the context of the project and technology concerned, using a comprehensive working knowledge of research contract issues, such as confidentiality, reporting requirements, warranties and liabilities, intellectual property, VAT and other related issues
- Ensure that contractual terms are clear and appropriate, and that organisational risk is identified and appropriately assessed within each contract, whilst meeting the Catapult’s approved contractual position
- Work internally with the appropriate Business Development and technical teams to establish the Catapult’s requirements, and interact with external partners as appropriate to communicate clearly and concisely the points of negotiation
- Ensure compliance with the Catapult’s business’s administration, legal and compliance obligations and support company secretary duties
- Advise Catapult staff and management on data protection compliance matters and IP issues as they arise
