Responsibilities
- Serves as primary point of contact and leads all stages of the contract negotiation process from initial drafting to execution, for various energy-commodity master agreements (ISDA (1992 and 2002) / CSA and various physical annexes, EFET (Gas and Power) / CSA and various appendices, Cross Product Master Netting Agreement (CPMA) and Master Netting Agreements, Transportation and Storage Terms and Conditions, Grid Trade Master Agreements, Emissions and REC Agreements, and FX Master Agreements).
- Coordinates, prepares, reviews and negotiates incoming and outgoing guarantees and guarantee amendments.
- Prepares, reviews and negotiates Confidentiality and Non-Disclosure Agreements.
- Maintains a comprehensive contract management system of all completed and pending guarantees and master agreements, including daily comments concerning recent conversations and approvals.
Familiarity with Link Squares contract management system is a plus.
- Collaborates with internal stakeholders to ensure accuracy of legal and credit risk allocation, operational controls, and commercial expectations.
- Responsible for consistent follow‑up with counterparties and detailed record keeping.
- Performs miscellaneous duties, including various administrative functions.
Qualifications
- 4+ years direct contract experience, preferably in the Energy/Commodities Industry.
- Sound knowledge of the European trading business and agreements, including but not limited to: Guarantees, Confidentiality/Non‑Disclosure Agreements, ISDA (1992 and 2002) and CSA, EFET (Gas and Power) and CSA, Cross Product Master Netting Agreement (CPMA) and other industry Master Netting Agreements, and/or other physical and financial commodity contracts.
- Understanding of Regulations with respect to Dodd‑Frank and EMIR, and associated industry documentation initiatives.
Education
- Bachelor’s Degree or Paralegal certificate from an accredited college or institution
- Juris Doctor Degree from an accredited institution a plus
- Knowledge / Skills
- Strong interpersonal skills and mature judgment (e. g., the ability to work effectively with various divisions of the company including in‑house attorneys and trading desks)
- Self‑motivated with the ability to manage multiple tasks, meet multiple deadlines, and work with minimal direct supervision successfully and simultaneously.
- Ability to communicate effectively and concisely (verbally and in writing) and achieve results in a timely manner – writing sample may be requested upon interview.
- Exceptional organizational and analytical skills. Attention to detail a must.
- Proficiency with Microsoft Office– EXCEL, ACCESS, MSWORD (2003 & 2010), Track Changes.
- Knowledge of the principles and procedures of the contracting process.
- Ability to assess contract compliance and to analyze and resolve problems.
- Knowledge of general trading business practices and procedures.
