AGH Solutions is seeking a Head of Corporate Governance to lead and oversee all aspects of corporate governance, company secretarial services and statutory compliance across the organisation. Reporting directly to the Managing Director, this is a key leadership position responsible for ensuring the organisation operates in line with all legal, regulatory and governance requirements while supporting the Board and senior leadership team in delivering effective decision-making and governance practices.
The Head of Corporate Governance will act as the principal governance advisor to the Board, ensuring the highest standards of corporate governance are maintained across the business.
Duties:
- Acting as Secretary to the Board and Committees, coordinating agendas, board packs, minutes and actions
- Advising the Board and senior leadership team on governance, statutory and regulatory matters
- Managing the organisation's governance framework and annual governance calendar
- Ensuring compliance with Companies Act requirements, statutory records and Companies House filings
- Leading the development, implementation and review of governance policies and procedures
- Supporting Board effectiveness reviews, succession planning and director inductions
- Maintaining key governance documentation including Articles of Association, Schemes of Delegation and Terms of Reference
- Managing governance reporting to shareholders and external bodies
- Leading governance training and development for Board members and senior stakeholders
- Undertaking horizon scanning to identify governance and regulatory developments
- Managing company risk governance, including oversight of the Board Assurance Framework
- Providing leadership to corporate governance, quality and communications functions
Person:
- CGI qualified, working towards qualification, or equivalent governance experience
- Experience in managing a small team in a similar sized organisation
- Significant experience within a Governance, Company Secretariat or Corporate Governance environment
- Strong knowledge of the Companies Act and corporate governance best practice
- Experience supporting Boards and Committees within a complex organisation
- Proven ability to prepare high-quality agendas, reports, board papers and minutes
- Experience managing statutory compliance and regulatory reporting requirements
- Strong stakeholder management skills with the ability to influence senior leaders and Board members
- Experience of governance frameworks, risk management and organisational compliance
- Excellent organisational skills and attention to detail
- A proactive and resilient approach with the ability to operate autonomously in a senior governance role
