We’re looking for a talented, hands‑on and enthusiastic Company Secretarial Assistant to join the Corporate Governance team within the wider UK Legal function at Capital One. As part of a small, experienced and friendly team, you will report directly to the Company Secretary and will provide a wide range of company secretarial and corporate governance support.
What you’ll do:
- Provide timely and expert corporate governance support to the business;
- Ensure all company registers are accurate, complete and up-to-date;
- Provide wide-ranging assistance on company secretarial matters, including but not limited to: drafting agendas for Board- and Management-level and Committees, Board and shareholder resolutions, meeting paper and materials preparation, and other relevant company secretarial documentation;
- Attending and taking minutes of meetings and facilitating their timely review by relevant stakeholders;
- Recording actions arising from meetings and following up with action owners on progress;
- Prepare and make regulatory filings, including Close Links Notifications;
- Organisation and maintenance of internal records for the activities undertaken by the team;
- Act as a liaison between the Corporate Governance function, other corporate governance functions within the wider Capital One group, and external corporate services providers across multiple jurisdictions, ensuring that all filings and deliverables are completed accurately and on a timely basis;
- Maintain awareness of and adhere to corporate governance best practice and the relevant governance codes and principles relevant to the business, as well as relevant statutory and regulatory requirements across all relevant jurisdictions;
- Operate as an effective team member by supporting colleagues and contributing to the delivery and achievement of overall team and business objectives;
- Liaise with stakeholders across the business to establish and maintain business relationships and ensure operational effectiveness;
- Perform any other duties as reasonably requested that fall within your skills and expertise.
- Duties may be reviewed and updated periodically due to the growth of the team and the business.
- Horizon Scanning: Identify, analyse and monitor emerging and anticipated changes in laws, regulations, and industry standards to ensure the team stays informed about and can plan for actual or potential changes.
- Technology: Assist with the team’s modernisation and transformation journey through the identification and implementation of automation and simplification opportunities, including the use of AI.
What we’re looking for:
- Previous experience of working in a highly-regulated industry and/or financial services;
- An understanding of risk governance practices, preferably in a financial services firm or in another regulated industry;
- Experience of advising on a range of corporate governance matters;
- Sound judgement; able to formulate proposals and make recommendations;
- Great stakeholder management skills and the ability to collaborate and influence a wide range of different people;
- Able to partner within and beyond the team, building productive, cross business relationships with a positive ‘can do’ attitude;
- Meticulous attention to detail ensuring there is thoroughness and accuracy when completing presentations and reports.
Where and how you’ll work:
This is a permanent position and can be based in our Nottingham or London offices. We have a hybrid working model which gives you flexibility to work from our offices and from home. We’re big on collaboration and connection, so you’ll be based in our Nottingham office 3 days a week on Tuesdays, Wednesdays and Thursdays.
