About the Role:

Capital Dynamics is seeking a highly capable and experienced Private Funds Lawyer to work alongside our Private Equity – Secondaries team. Based out of the London office, the Private Funds Lawyer will support Capital Dynamics' Secondaries Investment Management Team in the fund formation, structuring, negotiation, and documentation of primary and secondary fund investments, including single-asset and portfolio transactions.

The ideal candidate will have strong experience supporting LP-side secondaries transactions and a solid understanding of private funds documentation and deal processes. The role holder will work alongside the Global Head of Funds Legal and Global Head of Secondaries on the establishment of any new Capital Dynamics Secondaries Funds or related separately managed accounts. Only candidates with Secondaries transactions experience on either the LP-side or GP-side can be considered for this position.

Responsibilities:

  • Lead on all legal aspects relating to the acquisition of individual and portfolios of LP interests on both the primary and secondary markets.
  • Advise on structuring to minimise tax and regulatory implications; negotiate share and purchase agreements; review and complete transfers and subscription agreements; provide KYC and tax documentation; negotiate side letters (where necessary); and coordinate all aspects of the closing process.
  • Lead the negotiation and implementation of credit and NAV facilities.
  • Attend all Investment Committee meetings in an advisory capacity.
  • Manage the MFN election process related to primary investments.
  • Respond to investor and advisory board consents from underlying managers.
  • Assist with litigation matters as they arise in relation to the Secondaries Funds.
  • Together with Compliance, develop appropriate controls, policies, and procedures to ensure Capital Dynamics and its funds comply with internal and external legal and regulatory requirements.
  • Liaise with, establish, monitor, and maintain relationships with law firms and third-party service providers.
  • Assist with legal questions arising from investments in private equity funds, including tax and regulatory issues.
  • Be part of the legal team and support the Legal Heads and General Counsel on legal matters generally.

Qualifications:

  • US or UK-qualified lawyer; international experience is highly advantageous.
  • Minimum of 6 years' PQE (post-qualified experience), currently working in a Private Funds group at a law firm or as an in-house funds lawyer.
  • Extensive knowledge of Secondaries fund transactions – LP Portfolio Sales, LP-Led, GP-Led, Continuation Funds, and Preferred Equity.
  • Strong knowledge of private equity fund structuring, fund operations, and fund closing matters, ideally in respect of both UK and US funds; experience with Luxembourg fund structures is a plus.
  • Experience working in a collaborative and demanding environment.
  • Flexible, as you will work with colleagues across time zones from California & New York (US), London (UK), Milan (Italy), and Zug (Switzerland).

Required Skills:

  • Must be fluent in English and display superior writing skills.
  • Additional language skills such as German, Italian, French are desirable but not essential.
