Eligibility

  • Qualified Company Secretary (ACS) from ICSI.
  • 1–5 years of post-qualification experience in a corporate secretarial role.
  • Strong knowledge of Companies Act, SEBI LODR, FEMA, and other corporate laws.
  • Experience with listed companies (optional but preferred for listed entities).
  • Excellent drafting, communication, and interpersonal skills.
  • Proficient in MS Office, compliance software (like MCA portal, Board portal tools).
  • Candidate from law firm would be preferred.

Responsibilities

  • Statutory Compliance
    • Ensure compliance with Companies Act, 2013, RBI regulations, SEBI regulations and other applicable laws.
    • Manage and maintain statutory registers, records, and filings with ROC (MCA), RBI, SEBI, and other authorities.
    • Ensure timely filing of annual returns, financial statements, and event-based forms.
  • Board & Committee Support
    • Schedule, organize, and document Board, Committee, and General Meetings.
    • Prepare agendas, notices, minutes, resolutions, and related documentation.
    • Advise directors on their duties, corporate governance, and legal obligations.
  • Corporate Governance & Legal Advisory
    • Support implementation of good corporate governance practices.
    • Monitor changes in legislation and ensure company compliance.
    • Liaise with legal advisors, regulators, and external stakeholders as needed.
  • Secretarial Audit & Documentation
    • Conducting Secretarial Audits and ensure timely rectification of observations.
    • Maintain and update company policies, charters, and internal control documents.
    • Support M&A, restructuring, or investment processes from a compliance perspective.
    • Draft and review legal documents, contracts, and agreements as required.
    • Coordinate with auditors, consultants, and internal departments.
