Asia Law Offices is seeking qualified candidates for its corporate team. This role presents a distinctive opportunity to engage in high‑stakes corporate matters, including the oversight of complex transactions.

Responsibilities

  • Applicants should have a minimum of 2-3 years of experience in advising on legal corporate matters.
  • Conducting a review of documents as part of legal due diligence and preparation of due diligence reports.
  • Drafting and review of documents such as share purchase agreements, shareholders agreements, share transfer agreements, and investment agreements.
  • Drafting, vetting, and negotiating JV agreements, strategic partnerships, infrastructure/project‑related documents, including RFQs/RFPs, concession agreements, EPC contracts, O&M agreements, and other tender‑related documentation.
  • Managing and negotiating various non‑standard commercial contracts, such as technology/IP licensing, business transfer agreements, procurement agreements, vendor agreements, franchise agreements, sponsorship agreements, and sub‑contracting agreements.
  • A strong emphasis on risk assessment and sound business/legal judgment is required.
  • Drafting legal opinions and memoranda on complex regulatory matters.
