We are seeking an exceptional Legal Counsel to join Cambridge Aerospace at a pivotal moment in the company’s growth. Reporting to the Head of Legal, you will play a key role in supporting strategic legal initiatives. As Legal Counsel, you will help shape transactions from the outset, applying critical thinking to identify risks and opportunities early. Your responsibilities will include drafting and reviewing legal documentation and ensuring the smooth execution of corporate transactions and related activities.

Responsibilities

  • Advise and support on a broad spectrum of corporate matters including equity and debt fundraising rounds (primarily Series B–H), investor negotiations and transaction execution.
  • Provide support for mergers and acquisitions, from structuring through to completion and integration and other strategic transactions.
  • Advise on corporate governance matters and assess and manage corporate risks associated with corporate initiatives.
  • Support international group structuring projects.
  • Act as a key legal business partner to senior stakeholders across the business on strategic and day-to-day matters.
  • Assist with the development and maintenance of corporate templates, governance frameworks and internal legal processes.
  • Stay abreast of relevant laws, regulations and industry trends to ensure compliance.
  • Contribute to the evolution of the legal function as the company continues to scale.

Requirements

  • Qualified solicitor with a minimum of 2 years’ post-qualification experience.
  • Specialism in corporate law, underpinned by training and post-qualification experience at a leading law firm.
  • Proven ability to manage concurrent corporate transactions efficiently, with strong organisational skills and attention to detail.
  • Familiarity and demonstrated experience in Fundraising transactions (Series B–H or equivalent growth-stage financings).
