About The Role
Vice President – SPV Specialist
Position Overview
We are seeking a dedicated Vice President who specializes exclusively in Special Purpose Vehicle (SPV) formation, structuring, and capital raising. This full-time role is 100% focused on SPV transactions across all asset classes and investment strategies. The ideal candidate lives and breathes SPVs, with deep expertise in alternative investment structures and a proven track record of successful SPV capital raises.
Core SPV Responsibilities
- Design, structure, and execute SPV formations across asset classes.
- Lead preparation of Private Placement Memoranda (PPMs), Limited Partnership Agreements, and subscription documents.
- Structure SPV waterfalls, carry arrangements, and investor rights provisions.
- Navigate regulatory frameworks including Reg D, Reg S, and international private placement rules.
SPV Capital Raising
- Execute end-to-end SPV fundraising processes targeting $5M-$1B+ vehicles.
- Build and maintain investor networks specifically for SPV co-investments and direct deals.
- Create SPV-specific marketing materials, pitch decks, and due diligence data rooms.
- Manage investor onboarding, subscription processes, and capital calls.
SPV Deal Sourcing & Execution
- Identify and evaluate investment opportunities suitable for SPV structures.
- Coordinate with sponsors, GPs, and deal originators to structure SPV participation.
- Manage SPV investment committee processes and investor approval workflows.
- Oversee SPV closings, funding coordination, and post-investment administration.
SPV Investor Relations
- Serve as primary contact for SPV investors throughout investment lifecycle.
- Prepare quarterly reports, distribution notices, and exit communications.
- Coordinate annual meetings, investor calls, and ongoing SPV governance.
- Handle investor inquiries related to SPV performance and operations.
SPV Practice Development
