Key Responsibilities
- Lead the review and structuring of collateral agreements with RWA issuers to ensure the grant of first priority in security.
- Assess and validate security interests across agreements involving issuers, clients, and custodians to ensure enforceability.
- Review and amend third-party custody agreements of the custodians who hold the RWA, to ensure provision that allows Bybit to act on the security interests.
- Manage and maintain tri-party agreements for the moving benchmark rates, to ensure that the collateral is tagged to RTV (real time valuation).
- Ensure on agreement design to mitigate margin call risks and other unintended exposures.
- Partner closely with internal teams to implement robust legal frameworks for RWA transactions.
Requirements
- Law degree from Singapore, Hong Kong, Malaysia, UK, or US, with strong grounding in banking, securities, or financial law.
- Minimum 2–3 years of experience in structured finance, banking, or financial markets legal practice.
- Demonstrated experience reviewing, drafting, and negotiating secured transactions, collateral agreements, and tri-party arrangements.
- Familiarity with custody agreements, first-priority security interests, NAV provisions, and real-time valuation mechanisms.
- Knowledge of regulatory and operational requirements for institutional clients and real-world asset-backed products.
- Strong analytical, risk assessment, and cross-functional communication skills to work with finance, operations, and compliance teams.
- Experience with crypto exchanges, tokenized assets, or institutional partnerships is preferred.
