Our client is a young bank, it became fully licensed by the Bank of England last year, it is growing rapidly and there is an increasing need to focus on and develop the governance structure. Due to an internal move by the current incumbent, it now seeks to recruit a Senior Assistant Secretary to join their small team reporting into the Chief Risk Officer & Company Secretary.
The CRO heads a team of 5 in the Risk and Compliance department. This particular role in that team will act as the right-hand person on all matters company secretarial. It is a small team, and everyone works together supporting each other, rolling up their sleeves and getting stuck in wherever necessary. The CRO would like the person who takes this role to grow with it and the business, someone who will take ownership of the role - so this is a lovely opportunity to come into an existing role, offering the chance to develop and grow it on in a proactive manner.
The company already has a good structure set up as a young bank, but there will inevitably be a need to build things up as time goes on, streamlining what they already have and make improvements going forward. This role would suit an engaged and flexible candidate, ideally with some previous financial services sector experience, keen to make their mark and take on their own responsibilities, someone who would enjoy working in a team environment but comfortable with an increasing level of autonomy.
The role is to support the Board of Directors and Executive team in providing proactive and effective Company Secretarial support to the Bank’s board and their committees, a full job description is available on request but in essence duties will include:
- Board and Committee support
- Entity management
- Corporate governance
- Some other ad-hoc duties
Key Knowledge and Skills
- Experience in a similar role.
- A solid understanding of the administrative support required within a Company Secretarial role.
- Experience of interacting with Executive and non-executive members of boards and committees.
- An understanding of the role and requirements of the Companies Act and of best practice in Corporate Governance.
- Experience of working in financial services, e.g. banking, insurance, investments, accountancy.
- Experience with board management tools or platforms (e.g., Board Intelligence) is an advantage.
